  • Q3 sales declined 15% year over year; nine-month sales declined 32%. Net income fell 58% in Q3 and 84% year to date.
  • Q3 operating profit fell 48%; year-to-date operating profit fell 79%. OEM segment sales and profit were the principal sources of weakness; lower commodity costs and stronger aftermarket profitability partly offset the decline.
  • For the first nine months, operating cash flow was $389.3M, versus $485.5M a year earlier. Capital expenditures were $50.1M; investing cash outflow was $71.6M and financing cash outflow was $333.4M. Cash decreased $16.3M to $31.2M.
  • At September 30, cash was $31.2M, total debt was approximately $908.8M, and total liabilities were $1.662B. Debt declined from approximately $1.119B at year-end 2022. Working-capital balances included $338.8M in receivables and $791.9M in inventory.

Material changes and segment results

  • OEM: Q3 sales fell 20% to $728.5M and operating profit fell to $11.2M from $65.2M; margin was 1.5%, versus 7.1%. Nine-month sales fell 37% to $2.246B and operating margin was 1.3%, versus 14.0%.
  • Aftermarket: Q3 sales rose 5% to $230.8M; operating profit increased to $34.4M and margin to 14.9%, from 10.2%. Nine-month sales declined 4% to $701.6M, while operating profit rose to $91.7M and margin to 13.1%, from 10.3%.
  • Q3 sales pressure reflected lower North American RV wholesale shipments, commodity-indexed selling-price reductions, and lower marine production. Acquisitions contributed about $16.9M of Q3 sales. Lower steel and aluminum costs supported margins, but reduced OEM volumes left fixed costs spread across lower sales.
  • Inventory declined $237.8M from December 2022. The inventory obsolescence reserve increased to $63.0M from $55.9M. Accounts receivable increased $124.6M from year-end.

Outlook, risks, and contingencies

  • Management estimated full-year 2023 U.S. wholesale shipments of travel-trailer, fifth-wheel, and motorhome RVs at approximately 295,000–305,000 units, down 38%–40% from 2022. It cited dealer inventory, inflation, and higher interest rates affecting consumer demand.
  • Management expected a slight increase in aftermarket sales over prior-year levels for the remainder of 2023 as distribution-channel inventories stabilized, tempered by inflation and interest-rate pressure on discretionary spending. It expected manufactured-home, bus, and train production to remain near current run rates, while economic uncertainty could weigh on discretionary adjacent markets.
  • Full-year 2023 capital expenditure guidance was $55M–$60M; depreciation and amortization was estimated at $130M–$135M, and stock-based compensation at $18M–$20M. Management expected commodity prices to remain generally consistent with Q3 levels, while noting that prices are volatile.
  • Management said cash flows and revolving-credit availability were adequate for anticipated cash needs over the next 12 months. Revolver availability was $178.5M, subject to leverage-covenant limitations. The company was in covenant compliance at quarter-end; certain covenant thresholds had been temporarily adjusted for the quarters ended June 30 and September 30, 2023.
  • Variable-rate debt exposes the company to interest-rate increases. Other disclosed risks include cyclical and seasonal demand, dealer inventories, raw-material costs and pass-through timing, customer and supplier conditions, acquisitions, product warranties and recalls, environmental matters, and litigation. Management did not expect litigation liabilities beyond amounts provided to be material, but outcomes are uncertain.
  • The company paid a quarterly dividend of $1.05 per share in Q3. No share repurchases were made in the first nine months of 2023.

Most important facts for investors to verify

  • Whether RV retail demand, wholesale shipments, and dealer inventories track management’s 2023 expectations, and how that affects OEM volumes and margins.
  • Whether commodity-linked price reductions continue to outpace material-cost savings, and whether fixed-cost absorption improves as production changes.
  • Progress in reducing inventory and converting receivables into cash, alongside the quality and obsolescence of remaining inventory.
  • Debt repayment, borrowing costs, revolver availability, and covenant headroom after the temporary covenant adjustments.
  • Developments in warranty costs, product recalls, environmental matters, and litigation; warranty provision for the first nine months was $60.7M, compared with $36.4M in the prior-year period.
