  • Reported sales declined 0.6%; core sales grew 0.4%, excluding a 1.0% unfavorable currency effect. Volume contributed 0.6%, partly offset by 0.2% lower pricing.
  • SG&A rose to $284.9 million from $266.1 million, increasing to 45.7% of sales from 42.4%. Interest expense fell to $12.9 million from $16.7 million. The effective tax rate increased to 33.1% from 21.4%, primarily due to a valuation allowance against certain U.S. interest carryforwards.
  • Cash provided by operations increased primarily because of vendor-payment timing and lower year-end incentive compensation payments, partly offset by lower net income. Investing cash use was $10.7 million; financing cash use was $2.6 million.

Segments and material changes

  • Specialty Products & Technologies: Sales were $408.7 million, down 0.3% reported but up 0.8% on a core basis. Operating profit fell to $44.2 million from $71.1 million; margin declined to 10.8% from 17.3%, mainly due to unfavorable mix and pricing and higher costs for long-term growth initiatives. Lower North American demand was partly offset by growth in China and Europe.
  • Equipment & Consumables: Sales were $214.9 million, down 1.1% reported and 0.2% core. Operating profit increased to $35.6 million from $32.5 million; margin improved to 16.6% from 15.0%, reflecting favorable mix, productivity savings and lower intangible amortization. Lower European demand was partly offset by North American demand.
  • Consolidated operating profit decreased 33.3% and net income decreased 46.1%. Gross margin pressure reflected unfavorable pricing and product mix, partly offset by volume.
  • Other comprehensive loss was $66.4 million, primarily foreign-currency translation, versus $14.5 million of other comprehensive income in the prior-year quarter. Cash increased to $948.5 million from $940.0 million at year-end.

Liquidity, debt and outlook

  • Total debt was $1.506 billion, including $115.5 million of current debt, primarily the 2025 convertible notes, and $1.391 billion of long-term debt. Cash was $948.5 million. The company had no borrowings under its $750 million revolving credit facility and reported compliance with debt covenants.
  • The 2028 term loans bear variable rates; reported rates at quarter-end were 6.65% for the U.S. term loan and 4.98% for the euro term loan. The 2025 convertible notes mature June 1, 2025; the filing classifies them as current debt. Management said cash, operating cash flow and available liquidity should meet needs over the next 12 months and beyond.
  • The filing provides no specific sales or earnings guidance. Management cites inflation, interest rates, currency movements, economic conditions, supply-chain disruption, pricing controls, competition and regulatory requirements among factors that may affect results. A stronger U.S. dollar could further reduce reported sales and operating results.

Contingencies and notable items

  • Restructuring charges were $6.9 million, up from $4.3 million; the restructuring liability was $13.0 million at quarter-end.
  • Accrued legal contingencies were $37.5 million. Management did not expect the ultimate outcome, net of accruals, to materially affect financial position, but resolution or increased accruals could materially affect results or cash flows in a period.
  • On May 1, 2024, Paul Keel became CEO, succeeding Amir Aghdaei, who became a senior advisor. The filing notes other recent senior-management departures, including the CFO, and warns that a poorly managed transition could adversely affect the business.
  • Management reported effective disclosure controls and no material change in internal control over financial reporting during the quarter.

Important facts for investors to verify

  • Whether the decline in Specialty Products & Technologies profitability persists, and whether pricing, product mix and growth-investment costs improve.
  • How demand develops across North America, Europe and China, and whether currency movements continue to pressure reported sales and comprehensive income.
  • Plans to address the $115.5 million of 2025 convertible notes and the company’s debt, variable-rate exposure and covenant headroom.
  • Whether operating cash-flow improvement reflects sustainable working-capital performance or mainly payment timing.
  • Developments in accrued legal matters, restructuring costs and the CEO and broader management transition.
