| Cash from continuing operating activities | $26.5 million | $52.9 million |
| Capital expenditures | $42.9 million | $25.3 million |
- Operating margin was approximately negative 3.0%, versus positive 1.9% in FY2011. Cost of sales was 84.9% of revenue, compared with 83.9%.
- At year-end, cash and equivalents were $71.3 million; working capital was $123.1 million and the current ratio was 2.0. Total debt was $1.4 million, with no revolving-credit borrowings.
- The $270 million revolving facility had $102.6 million of availability, limited by covenant calculations, and $5.5 million of letters of credit outstanding. The company reported covenant compliance. Its facility was due to expire April 23, 2013, and renewal negotiations were underway.
- Fourth-quarter net sales were $235.0 million, operating income $1.0 million, net income $1.0 million, and diluted EPS $0.03. In fourth-quarter FY2011, operating income was $11.8 million and net income was $6.2 million.
Material changes and drivers
- Consolidated sales declined 2.3%. Engineered Products sales rose 13.9% to $478.6 million, including a full year of Edgetech compared with seven months in FY2011; comparable sales increased 6%.
- Aluminum Sheet Products sales fell 17.8% to $362.3 million. Shipments declined 8.9% and average selling price declined 9.7%. The segment recorded an operating loss of $17.1 million, versus $17.1 million operating income the prior year.
- Engineered Products operating income fell 5.9% to $28.5 million, with margin down to 6.0% from 7.2%. The full-year acquisition contribution and stronger vinyl extrusion sales were offset by consolidation costs and other pressures.
- Operating cash flow declined by $26.5 million year over year, principally reflecting lower earnings, strike-related cash costs, $8.7 million of IG spacer consolidation payments, and increased pension contributions.
Outlook, management commentary, and key risks
- Management expected improved Aluminum Sheet Products performance in FY2013, citing lean initiatives, maintenance and equipment investment, and increased throughput. It forecast FY2013 capital expenditures of approximately $40 million, including ERP spending, and estimated $8 million in annual pretax cash savings from the completed IG spacer consolidation beginning in FY2013.
- Management described early recovery signs in new home construction but remained cautious about repair and replacement demand, which it said represented roughly two-thirds of Engineered Products sales. Consumer confidence, unemployment, home-equity credit availability, housing activity, and aluminum prices remain important demand and margin factors.
- The Davenport facilities’ strike began in January 2012 and ended in April; a new five-year labor agreement was ratified in September. The company estimated an approximately $11.1 million pretax operating-income impact from lost volume and direct costs. Aluminum operations also faced quality, reliability, maintenance, and spread pressures.
- The Barbourville IG spacer consolidation was completed in August 2012. FY2012 included $9.0 million of related expenses; residual payments and minor costs were expected in FY2013. A roof collapse at the facility caused $1.4 million of costs, partly offset by a $2.4 million insurance recovery, producing a reported net gain of about $1.0 million.
- Environmental remediation at the Decatur, Alabama site carried an $11.5 million reserve and an expected $11.2 million recovery from former owners. Recovery depends on the indemnitors and the remediation plan remains subject to regulatory review; remediation payments may continue through at least FY2034.
- Other risks include cyclical and seasonal construction markets, raw-material and energy costs, customer pricing pressure, acquisition integration, ERP implementation, product liability, environmental obligations, and access to credit. The company announced a definitive agreement to acquire Alumco assets on December 17, 2012, with closing expected in FY2013.
- Deloitte issued an unqualified opinion on the financial statements and internal control over financial reporting; management also concluded controls were effective.
Important facts for investors to verify
- Whether FY2013 results and cash generation recover after the strike and whether Aluminum Sheet Products restores shipment levels, quality, and margins.
- Whether the credit facility was renewed on acceptable terms before its April 2013 expiration, and how covenant-based availability changes with earnings.
- Whether the IG consolidation delivers the projected $8 million annual pretax cash savings and whether remaining closure costs stay limited.
- Whether environmental remediation costs and indemnity recoveries remain consistent with recorded estimates and the indemnification cap.
- How FY2013 capital spending, ERP conversion, and the Alumco transaction affect liquidity and execution risk.
