Material changes versus comparable periods
- Investment income increased 6.7% year over year, primarily as the portfolio’s weighted-average yield rose from 10.2% to 10.6%. Q1 2024 included $2.3 million of prepayment and accelerated-fee income, including $0.7 million of one-time prepayment fees.
- Net investment income after taxes rose to $92.6 million from $81.6 million. However, net assets resulting from operations declined to $90.9 million from $96.9 million, as realized losses were larger and unrealized gains were lower year over year.
- Interest expense increased despite lower average daily borrowings ($2.99 billion versus $3.21 billion), as the average borrowing rate rose to 6.3% from 5.8%.
- Investments at fair value fell $54.8 million from year-end. The portfolio remained concentrated in systems software (25.1% of fair value), healthcare technology (14.8%) and application software (13.4%).
- New investment commitments were $343.1 million, versus $33.2 million in Q1 2023; investments sold or repaid totaled $338.0 million, versus $0.2 million. Unfunded portfolio-company commitments increased to $490.1 million from $396.1 million.
- Portfolio ratings show 2.3% at rating 4 at March 31, 2024, compared with none at year-end; rating 3 exposure declined to 8.9% from 10.2%. Non-accrual debt was 0.3% of debt amortized cost, or $15.1 million, versus $13.9 million at year-end.
Outlook, commentary, risks and unusual items
- Management said portfolio credit quality had been consistent, many borrowers continued to record modest revenue and EBITDA growth, and it saw no broad deterioration at the reporting date. It also cautioned that sustained high rates or economic, geopolitical or market instability could challenge portfolio-company performance.
- Management expects originations to increase as private-equity capital is deployed and the interest-rate outlook becomes clearer. This is not specific earnings or NAV guidance; the filing provides no clear numerical forecast.
- About 95.7% of debt investments by fair value were floating-rate. Management’s annualized sensitivity estimate shows a 100-basis-point rate increase would raise net income by $32.3 million, while a 100-basis-point decrease would reduce it by the same amount, assuming no change in investment or borrowing structure and excluding income-based fees.
- PIK interest and dividends totaled $37.3 million, or 21.7% of investment income. PIK accruals are generally added to investment balances rather than received in cash.
- Approximately $5.800 billion, or 95.4% of investments at fair value, were Level 3. Fair values rely substantially on unobservable assumptions; realizable sale values may differ materially. Restricted securities were valued at $1.24 billion, or 34.8% of net assets.
- Realized investment losses were $22.8 million and foreign-currency transaction losses were $0.9 million. Unrealized investment gains were $22.6 million, led by Robinhood and Toast, and partly offset by declines including Pluralsight and Exabeam. Management recorded a $3.3 million federal excise-tax expense.
- The $0.37 distribution was identified as expected to be paid, in part, from sources other than ordinary income, including long-term capital gains. The board subsequently declared a Q2 distribution based on estimated taxable income, with a possible additional net-capital-gains amount.
- After quarter-end, the company agreed to contribute $2.5 million to a Blue Owl-managed joint venture, representing approximately 4% economic ownership. Management reported no pending or threatened litigation known to it at March 31, 2024, and said disclosure controls were effective.
Important facts for investors to verify
- Review the valuation assumptions and subsequent performance of material Level 3 and restricted investments, especially equity holdings and the largest unrealized gain and loss contributors.
- Monitor portfolio-company credit ratings, non-accruals, PIK income, and the ability to fund $490.1 million of outstanding commitments.
- Assess sensitivity to interest rates, funding costs, asset coverage and the availability of revolving capacity; verify compliance with facility borrowing-base and covenant requirements.
- Review the 2025–2027 debt maturities, refinancing options and the collateral pledged to secured facilities and the CLO.
- Confirm the source and tax characterization of distributions, and whether income and cash receipts support the distribution level.
- Consider the company’s private-share liquidity and listing status: the cover page lists no securities registered under Section 12(b), and the filing describes a potential orderly wind-down if no exchange listing occurs by the end of the commitment period, subject to possible extensions and required approvals.
