Billboard revenue rose 3% to $328.8 million; transit and other revenue rose 6% to $79.7 million. Management attributed growth mainly to higher yield, including digital advertising. Digital revenue totaled $126.7 million. Interest expense increased to $41.4 million from $37.7 million, primarily due to higher interest rates and average debt.

Balance sheet and liquidity

  • Cash was $42.4 million at March 31, 2024. Current assets were $359.4 million against current liabilities of $622.2 million, a working-capital deficit of $262.8 million, compared with $195.4 million at year-end 2023.
  • Total debt, net, was $2.798 billion, up from $2.742 billion at year-end; weighted-average debt cost was 5.7%. The $500 million revolver had no borrowings. The $150 million accounts-receivable facility had $120 million drawn at 6.3%, with $30 million of stated capacity remaining and a May 2025 termination date unless extended.
  • Cash flow from operations improved year over year, chiefly reflecting working-capital timing and lower incentive compensation payments. Investing cash outflow was $19.0 million; financing cash outflow was $4.9 million, including $52.4 million of dividends and net AR-facility borrowings.
  • Debt covenant ratios were 5.3x consolidated total leverage and 2.0x consolidated net secured leverage; the company reported compliance with its covenants.

Material changes, outlook and risks

  • U.S. Media Adjusted OIBDA increased 13% to $81.8 million, with margin rising to 21% from 19%. The prior-year comparison included a $5.2 million out-of-period increase in operating expense, which affects year-over-year expense and margin comparisons.
  • A $9.1 million impairment was recorded for the MTA asset group because management continued to expect negative aggregate cash flows. No MTA deployment-cost recoupment occurred in Q1, and the company did not expect recoupment for the remainder of 2024. It expected approximately $50 million of MTA deployment costs in 2024 and $30–$40 million annually thereafter during the remaining agreement term; management expected to be cash-flow neutral at some point in 2024.
  • Management forecast 2024 capital expenditures of approximately $75 million, excluding MTA equipment deployment costs. It expected the initial MTA deployment to be substantially completed during 2024 and transit franchise expenses, as a percentage of transit revenue, to decline during the remainder of 2024 versus 2023.
  • The Canadian sale was expected to close in the first half of 2024, subject to conditions including Canadian antitrust approval. The C$410 million price is subject to adjustments and a contractual holdback. The filing also disclosed a C$20 million termination fee under specified circumstances if antitrust approval is not obtained by the outside date.
  • Management cited sensitivity to advertising demand and economic conditions, inflation and interest rates, digital-display supply and logistics delays, transit contract renewals and MTA deployment-cost recovery. It noted that financing availability and terms could be affected if cash flows weaken. The company reported no material changes to previously disclosed risk factors and did not expect current litigation to have a material adverse effect.
  • The board approved a $0.30-per-share quarterly common dividend on May 2, 2024, payable June 28, 2024. The filing does not provide formal full-year revenue or earnings guidance.
