  • Cash and cash equivalents declined to $437.4 million from $564.0 million, primarily due to securities purchases, reduced interest-bearing deposits and dividends.

  • Other borrowings totaled $990.8 million, including $985.0 million of FHLB advances, and securities sold under repurchase agreements totaled $320.4 million. The Company had $5.04 billion of total funds available under its FHLB agreement.

Material Changes Versus the Prior Comparable Period

  • Net income declined $12.2 million, primarily because the provision for credit losses rose substantially and the Tradition acquisition increased operating costs.

Guidance, Outlook, Commentary, Risks and Unusual Items

Management did not provide specific quantitative earnings or growth guidance in the filing. Its stated strategy is to pursue internal loan and deposit growth, disciplined acquisitions, community banking, cost control, cross-selling and maintenance of conservative underwriting and strong asset quality.

  • Management expects deposits, loan and security maturities, amortization of earning assets and FHLB advances to remain the principal liquidity sources and uses.
  • Interest-rate sensitivity modeling indicated a projected 1.4% decrease in 12-month net interest income under an instantaneous 200-basis-point increase and a 7.3% decrease under a 100-basis-point decline, based on the December 31, 2016 balance sheet. Actual results may differ materially.
  • Key risks include Texas and Oklahoma economic conditions, oil and gas exposure, real estate and construction concentrations, credit losses, interest-rate movements, deposit competition, acquisition integration, liquidity, regulatory requirements, cybersecurity and third-party vendor disruptions.
  • Goodwill totaled $1.90 billion. Management concluded that goodwill was not impaired at December 31, 2016, but adverse changes in cash flows, profitability, market multiples or discount rates could result in future impairment charges.
  • The Company reported no material unresolved legal proceedings, no material capital expenditure commitments, no securities impairment charges and no material impact from newly adopted accounting standards during 2016.
  • Management and Deloitte & Touche LLP concluded that disclosure controls and internal control over financial reporting were effective as of December 31, 2016. Deloitte issued unqualified audit opinions.

Facts Investors Should Verify

  • Whether higher commercial real estate and construction exposure produces further deterioration in nonperforming assets, charge-offs or provision expense.
  • Whether the decline in deposits and increased FHLB borrowings affect funding costs, liquidity or future loan growth.
  • Whether net interest margin remains pressured by interest-rate changes, deposit repricing and the reduction in purchase-accounting accretion.
  • Whether the Tradition acquisition delivers expected operating efficiencies and earnings accretion without additional integration costs.
  • Whether goodwill and other acquisition-related intangibles remain recoverable under changing market conditions.
  • Whether the allowance for credit losses remains adequate as loans subject to the allowance methodology grow and economic conditions change.
  • Future dividend capacity and capital allocation, given regulatory restrictions on bank dividends and the Company’s reliance on subsidiary dividends.
