Operating expenses were $3.61 million for the quarter and $8.10 million for the six months; with no current-period revenue, operating and profit margins are not meaningful. Six-month R&D spending increased, principally reflecting development activity including bremelanotide. The prior-year six-month net loss included a $7.07 million non-cash warrant fair-value expense, partly offset by a $1.75 million tax benefit from sale of New Jersey net operating loss carryforwards.
At December 31, cash and cash equivalents were $16.68 million and short-term investments were $1.50 million, or $18.18 million combined, versus $24.42 million at June 30, 2013. Six-month operating cash use was $6.19 million, compared with $5.32 million; investing activities provided $3.74 million, primarily from investment maturities, and financing used $0.04 million. Total current liabilities were $3.48 million, including $1.00 million of unearned revenue; current liabilities excluding that balance were approximately $2.48 million. Current capital lease obligations were $8,115. The filing reports an accumulated deficit of $268.2 million.
Changes, outlook, and risks
- Cash and short-term investments declined by about $6.24 million from June 30, 2013. No revenue was recorded in the 2013 quarter or first half; prior-year revenue was AstraZeneca-related reimbursement.
- Palatin received a $1.0 million non-refundable option fee for negotiations over a potential bremelanotide license in a defined territory outside North America. It was recorded as unearned revenue, is creditable against a future license fee, and the option was due to expire in the first calendar quarter of 2014 if not exercised, subject to contingencies.
- Management expected to submit complete bremelanotide Phase 3 protocols to the FDA and planned to begin trials as early as the first half of calendar 2014. The program was expected to require at least $78 million; Palatin said it would not begin patient enrollment without adequate funding or commitments. It planned to seek funding through a collaboration, equity or debt financing, or other sources.
- Management believed existing resources would fund currently planned operations, including protocol preparation but not Phase 3 enrollment, through at least March 31, 2015. It expected continuing losses. Phase 3 was anticipated to include two pivotal trials, each with 650 evaluable patients, and take at least 15–18 months from first dosing through database lock. Trial success and FDA approval were not assured.
- Other programs included PL-3994 and preclinical melanocortin receptor-1 candidates. AstraZeneca was evaluating its obesity/metabolic-disease program; continued development and eventual success were uncertain.
- A January 2014 sale of New Jersey NOL carryforwards was expected to produce $1.85 million of tax benefits in the quarter ending March 31, 2014; this is a subsequent event, not a benefit in the reported period.
- Key risks include clinical and regulatory failure, uncertain development costs and timing, and the need for substantial additional capital. The company reported no material changes to its previously disclosed risk factors, no current legal proceedings, and effective disclosure controls as of December 31, 2013.
Important facts for investors to verify
- Whether the territorial option led to a definitive bremelanotide license and whether the $1.0 million fee was applied or otherwise resolved.
- Availability and terms of funding needed for the estimated $78 million Phase 3 program, and whether the trial start and timeline remained achievable.
- Subsequent cash use, financing needs, and whether the stated runway through March 31, 2015 remained valid.
- Clinical, regulatory, and development updates for bremelanotide, PL-3994, MC1R candidates, and AstraZeneca’s program.
- Potential dilution: the filing describes 2012 warrants for up to approximately 67.5 million common shares at $0.01 per share, subject to terms and exercise limitations. The reported weighted-average share count includes certain nominal-price warrants and is not the same as common shares outstanding; 39,191,655 common shares were outstanding at December 31, 2013.
