Redwire Corp annual report, FY2021

Business context and reporting period

Redwire Corporation’s Form 10-K covers the fiscal year ended December 31, 2021. Redwire supplies space infrastructure, components and engineering services to civil, national-security and commercial customers. It completed its merger with Genesis Park Acquisition Corp. in September 2021 and acquired Oakman Aerospace, Deployable Space Systems and Techshot during 2021.

This is an annual filing, not a standalone fourth-quarter report; the filing does not provide a clear, separate Q4 financial result. Comparisons with 2020 are also limited: the 2021 results include acquired businesses for only part of the year, and the 2020 successor and predecessor periods use different accounting bases.

Revenue rose $96.8 million, or 237%, versus the 2020 successor period, largely reflecting acquisitions and a full year of operations for businesses acquired in 2020. Gross margin was about 21%, versus 20% in that 2020 successor period. SG&A increased to $78.7 million, including $25.0 million of equity-based compensation and $7.7 million of public-company readiness costs. The 2021 net loss also included $11.3 million of contingent earnout expense. Book-to-bill was 1.13; management said $67.8 million of uncontracted backlog represented contract extensions under negotiation that were priced, fully scoped and verbally awarded.

NASA generated $48.5 million of 2021 revenue (about 35% of total), while Boeing generated $17.8 million (about 13%). The filing states that most revenue comes from government contracts.

Outlook, commentary and material risks

  • Management said strong order volume and new business wins were offset by uncertainty in U.S. government funding, COVID-related program delays, delays to anticipated Artemis Human Landing System work, and increased costs of operating as a public company.
  • Management expected existing liquidity to cover working capital and debt-covenant needs for at least 12 months from issuance of the financial statements, but cautioned that liquidity might not meet longer-term needs if operating cash outflows continued. The company reported ongoing operating losses and negative operating cash flow.
  • On March 25, 2022, after year-end, the revolving credit commitment was increased from $5 million to $25 million; the amendment also changed certain covenants and increased rates on revolving borrowings. The company said it was exploring financing and cost-reduction measures.
  • Material risks include acquisition integration and execution, converting backlog into revenue, fixed-price contract cost overruns, government funding and termination, launch availability, supply-chain constraints and inflation, and the still-emerging market for in-space manufacturing. COVID-19 had contributed to delays and supplier, labor and cost pressures.
  • Redwire disclosed material weaknesses in financial reporting controls and concluded disclosure controls were ineffective as of year-end. Remediation was underway and expected to extend beyond December 31, 2022. The audit committee investigation found no need to restate or adjust previously issued financial statements, but the company self-reported the matter to the SEC and said it would cooperate.
  • A securities class action filed in December 2021 names the company, CEO and CFO; the defendants disputed the allegations, and the company said a loss estimate could not be made. The financial statements received an unqualified audit opinion.
  • Unusual items included substantial equity-based compensation, acquisition-related expenses, contingent earnout expense, and a $2.6 million gain from a decrease in the fair value of private warrants. These items affect interpretation of the GAAP loss and non-GAAP measures.

Important facts for investors to verify

  • How much of the $131.9 million uncontracted backlog—particularly the $67.8 million of extensions under negotiation—becomes funded, executed work and revenue.
  • Whether Redwire can reduce cash burn, meet debt covenants and fund operations beyond the stated 12-month liquidity outlook; check the terms and use of the expanded revolving facility.
  • Progress and independent evidence of remediation of the material weaknesses, including controls over revenue estimates, acquisitions, financial close and IT systems.
  • Revenue concentration, program timing and execution—especially NASA exposure, Artemis-related delays and customer or government funding changes.
  • Acquisition integration, future purchase-price adjustments and goodwill or intangible-asset impairment risk; goodwill was $96.3 million at year-end.
  • Developments in the securities litigation and any SEC requests or proceedings arising from the accounting-controls investigation.
