RH Form 10-Q Summary
Reporting period: Three months ended April 29, 2023, compared with three months ended April 30, 2022. Although the request metadata states “2022 Q1,” the supplied filing is RH’s fiscal 2023 first-quarter Form 10-Q, filed May 26, 2023.
Business Context
RH is a luxury home-furnishings retailer operating RH Galleries, Outlets, Waterworks Showrooms, websites, Source Books, hospitality venues and an RH Guesthouse. At quarter-end, RH operated 67 Galleries, 39 Outlets, 14 Waterworks Showrooms and one Guesthouse, with operations primarily in the United States and additional locations in Canada and the U.K.
Management attributed the demand slowdown to post-pandemic changes in consumer spending, increased travel and services spending, inflation, higher interest and mortgage rates, financial-market uncertainty and weakness in the housing market.

RH Segment revenue declined 24.0% to $690.5 million, primarily reflecting lower demand compared with the pandemic-supported prior-year period. Outlet revenue decreased to $57 million from $70 million. Waterworks revenue increased 0.6% to $48.6 million, while its gross margin remained broadly stable at 53.4%.
The gross-margin decline reflected lower sales and occupancy deleverage, together with lower product margins in the core business, partly offset by shipping-cost leverage. SG&A decreased 15.3% to $248.3 million but increased to 33.6% of revenue from 30.7%, reflecting deleverage in compensation, occupancy and advertising costs.
Cash Flow, Liquidity and Capital Structure
- Operating cash flow was $86.7 million, compared with $135.9 million in the prior-year quarter.
- Investing cash flow was negative $67.3 million, including $34.2 million of capital expenditures and $33.1 million of contributions to equity-method real-estate investments.
- Financing cash flow was negative $10.9 million, primarily reflecting $6.2 million of term-loan repayments and $3.9 million of finance-lease payments.
- Cash and cash equivalents were $1.517 billion at April 29, 2023; cash, restricted cash and restricted cash equivalents totaled $1.520 billion.
- Total debt, excluding non-recourse real-estate loans and restricted cash, was approximately $2.512 billion, producing reported net debt of approximately $995 million.
- Term Loan B principal outstanding was $1.970 billion and Term Loan B-2 principal outstanding was $497.5 million. Both mature October 20, 2028 and carry floating-rate exposure.
- The asset-based credit facility had no borrowings and $478 million of availability net of $27 million of outstanding letters of credit.
- Approximately $1.7 million of convertible notes due 2023 remained outstanding at quarter-end, with a scheduled June 2023 maturity; approximately $41.9 million of notes due 2024 remained outstanding.
- Adjusted capital expenditures were $43.8 million in the quarter. Management projected fiscal 2023 adjusted capital expenditures of $275 million to $325 million.
Material Changes and Unusual Items
- RH completed a restructuring affecting approximately 440 roles and recorded $7.6 million of severance and related charges; $5.8 million remained accrued at quarter-end.
- Interest expense increased to $39.8 million from $20.9 million, primarily because of higher term-loan interest, partly offset by substantially higher interest income.
- The prior-year quarter included a $146.1 million loss on extinguishment of debt and significant gains and costs associated with convertible-note, bond-hedge and warrant transactions. These items did not recur in Q1 FY2023.
- The effective tax rate was 28.4%, compared with a negative 438.3% in the prior-year period, when RH recorded a $163.4 million tax benefit largely related to stock-based compensation.
- RH contributed approximately $33 million to Aspen real-estate investments during the quarter, increasing the carrying value of equity-method investments to $133.0 million.
- RH repurchased 403 shares for approximately $0.1 million during the quarter. The share-repurchase authorization had $1.45 billion remaining.
Outlook, Management Commentary and Risks
Management stated that existing cash, operating cash flow and available financing are expected to be sufficient to repay debt as it becomes due, meet working-capital requirements and fund other capital needs for more than the next 12 months. Management also expected sufficient cash to repay the remaining 2023 and 2024 convertible notes in cash at maturity or upon applicable early conversion.
Longer-term initiatives include product elevation, Gallery transformation, hospitality and Guesthouse expansion, international growth, digital reimagination and real-estate development. Management described potential annual revenue opportunities of $5 billion to $6 billion from Gallery transformation and a projected $20 billion to $25 billion global brand opportunity; these are strategic aspirations rather than filed-period financial guidance.
Key risks include continued housing-market weakness, recession, inflation, rising interest rates, consumer demand shifts, floating-rate debt exposure, substantial lease and finance-lease obligations, execution risk from simultaneous international, real-estate and hospitality initiatives, and potential difficulty obtaining additional financing on favorable terms.
The company disclosed an unresolved material weakness in internal control over financial reporting related to the presentation and disclosure of net income per share. Enhanced controls had been implemented, but the weakness was not considered remediated as of April 29, 2023. Management anticipated remediation in the first half of fiscal 2023.
RH also faces employment-related class-action allegations and other litigation, claims, investigations and regulatory matters. Management believes current proceedings will not materially adversely affect the financial statements, but stated that ultimate outcomes and potential losses may be difficult to estimate.
Investor Verification Items

- Track floating-rate interest costs and compliance with the ABL facility’s availability-based fixed-charge coverage covenant.
- Assess execution and capital requirements for Gallery transformation, international expansion, hospitality, Guesthouses and real-estate joint ventures.
- Confirm remediation of the disclosed material weakness in EPS presentation and disclosure controls in subsequent filings.
