Consolidated net income was $3.2 million, including $0.1 million attributable to non-controlling interest. Net cash from operations benefited primarily from changes in operating assets and liabilities, including higher accounts payable and operating-partner commissions payable. Capital expenditures were $2.1 million. Financing used $21.7 million, principally reflecting a $20.0 million repayment on the revolving facility; cash declined $11.0 million to $23.9 million.

At September 30, 2020, current assets were $134.5 million and current liabilities were $103.8 million. Notes payable totaled $31.3 million, compared with $51.9 million at June 30, 2020; this includes the $5.9 million Paycheck Protection Program (PPP) loan. Operating and finance lease liabilities totaled $15.2 million. The $150 million revolving credit facility had $10 million outstanding, and the company reported covenant compliance. Borrowings were secured by a first-priority interest in receivables and other assets.

Material changes versus the prior-year quarter

  • Transportation revenue fell 11.5% to $169.8 million; net transportation revenue declined to $42.1 million from $50.7 million, and its margin fell to 24.8% from 26.4%, reflecting product mix and lower-margin business.
  • Value-added services revenue decreased 31.8% to $6.0 million, attributed mainly to COVID-related slowdowns in contract logistics and customs brokerage. Its net-revenue margin increased to 64.1% from 55.6%, primarily due to lower personnel and warehousing costs relative to revenue.
  • Operating partner commissions declined 23.1% to $18.6 million. Personnel costs fell 13.9% to $12.8 million after temporary workforce and compensation reductions; SG&A decreased 26.2% to $5.7 million, partly from lower professional-services, bad-debt and claims, and travel spending.
  • Foreign-currency translation produced a $2.0 million other comprehensive loss, versus a $0.1 million gain in the prior-year quarter. Goodwill decreased by $1.1 million from currency translation; no impairment was recorded.

Outlook, commentary, risks and unusual items

  • Management provided no numerical full-year guidance and said it could not reasonably estimate COVID-19’s impact on fiscal 2021 results, liquidity, or financial position. It expects the pandemic to continue affecting results.
  • Management reported reduced demand in many business areas since April 2020, with improvement in some segments. It said the downturn in activity was expected to more than offset financial benefits from handling essential goods. Potential risks include further demand declines, customer payment difficulties and bad-debt exposure, workforce and business-continuity challenges, cybersecurity risks, and impairment of assets.
  • Acquisition activity and stock repurchases were temporarily paused in response to COVID-19. The existing repurchase authorization runs through December 31, 2021.
  • The $5.9 million PPP loan bears 1% interest and may be forgiven in whole or part if qualifying requirements are met. Forgiveness is not assured; the SBA review and eligibility certification could result in repayment and/or penalties if the company is found ineligible.
  • Management disclosed a material weakness in controls over goodwill and intangible-asset impairment reviews, including review of reporting-unit carrying values and identification of triggering events. The weakness had not resulted in a financial-statement misstatement, but could permit one; remediation work was underway. Management identified no goodwill impairment triggering event for the quarter.
  • In October 2020, the company signed an 11-year lease for 20,025 square feet of office space in Renton, Washington, beginning May 2021, at approximately $38,000 per month.
  • The company reported no potentially material legal proceedings as of September 30, 2020. Acquisition earn-out liabilities were $4.9 million, with estimated cash payments through fiscal 2024; amounts can vary with acquired businesses’ results.

Important facts for investors to verify

  • Confirm the filing period: it is fiscal Q1 2021, ended September 30, 2020, not calendar-year Q1 2020.
  • Track COVID-related shipment volumes, customer demand, net transportation revenue and margins, and whether cost reductions remain sustainable.
  • Assess the quality and repeatability of operating cash flow, given the quarter’s substantial working-capital contribution and the decline in cash after debt repayment.
  • Review revolving-facility availability, covenants, debt maturities, and PPP loan forgiveness or repayment status.
  • Monitor remediation and testing of impairment controls, and any resulting goodwill or intangible-asset impairment assessments.
  • Verify potential earn-out obligations and the financial commitment from the newly signed long-term office lease.
