Reporting period: Fiscal year ended May 31, 2020, with comparison to fiscal 2019. Although the request identifies “2019 Q4,” this filing is an annual report for fiscal 2020; the filing’s fourth quarter is the three months ended May 31, 2020. Dollar figures below are U.S. dollars.
Business context
RPM manufactures and sells specialty paints, coatings, roofing systems, sealants, adhesives, and construction and repair products. It reports four segments: Construction Products Group (CPG), Performance Coatings Group (PCG), Consumer, and Specialty Products Group (SPG). Approximately 31% of fiscal 2020 sales came from international operations, excluding direct U.S. exports. The company realigned businesses into the four-segment structure effective June 1, 2019.

Available liquidity, including cash and committed facilities, was $1.280 billion. Segments and comparison with prior year
| Segment | FY2020 sales | Year-over-year sales change | FY2020 pretax income |
|---|---|---|---|
| CPG | $1.880 billion | Down 1.0% | $209.7 million |
| PCG | $1.081 billion | Down 4.9% | $102.3 million |
| Consumer | $1.945 billion | Up 4.7% | $198.0 million |
| SPG | $601.0 million | Down 10.3% | $57.9 million |
Consumer growth, driven by market-share gains, pricing and increased home-improvement activity, partly offset declines in the other segments. CPG and PCG pretax income improved; Consumer and SPG pretax income declined. Consolidated sales included 1.1% contribution from acquisitions, a 0.8% organic decline and a 1.3% unfavorable foreign-exchange effect.
Fourth-quarter sales were $1.459 billion, down 8.9% from $1.601 billion. Fourth-quarter net income attributable to RPM shareholders was $109.3 million, versus $133.4 million a year earlier; diluted EPS was $0.84 versus $1.02.
Gross margin improvement reflected pricing and savings from the 2020 Margin Acceleration Plan (MAP to Growth), partly offset by lower volumes, unfavorable product mix, higher raw-material costs and Consumer supply-chain challenges. Prior-year margin comparisons were retrospectively reclassified for shipping costs moved from SG&A to cost of sales; this accounting change did not affect pretax income, net income or EPS.
Outlook, risks and unusual items
- COVID-19: The pandemic disrupted demand, facilities, access to customer sites and implementation of operating improvements. Management said the duration and financial impact were not reasonably estimable and could be material. Nearly all North American plants were operating at filing time, while some international plants had temporary closures.
- Near-term outlook: Management expected first-quarter fiscal 2021 sales to be more in line with the prior-year quarter, absent further widespread lockdowns. It cautioned that forecasts remained uncertain.
- MAP to Growth: Cumulative charges were $92.9 million through May 31, 2020, with approximately $18.0 million of additional charges expected. The pandemic delayed completion beyond the original December 2020 target. Management’s stated target was approximately $290 million in annualized pretax savings upon completion; this is a plan target, not a reported result.
- Cash flow: The year-over-year operating cash-flow increase included substantial working-capital timing effects, including about $100 million of Consumer customer receipts shifted from fiscal Q4 2019 to fiscal Q1 2020 after ending early-payment discounts. The company also deferred $17.7 million of government payments to future periods.
- Debt and liquidity risks: Debt is significant relative to equity, and the company identified refinancing, covenant, interest-rate and capital-market access risks. Approximately 19.9% of debt was floating-rate, including swapped borrowings; a 100-basis-point rate change was estimated to affect annual interest expense by about $5.0 million.
- Legal and environmental matters: An SEC enforcement action concerning fiscal 2013 disclosure and reserve timing remained pending; the company contested the allegations and had accrued a loss at the low end of its estimated range. A related shareholder derivative case was stayed. Environmental reserves and the proposed $1.3 million Lammers Barrel Superfund settlement were also disclosed.
- Other items: Fiscal 2020 included $33.1 million of restructuring charges, a $6.9 million Consumer charge for abandoning an OEM-targeted product line, and a $5.3 million charge for terminating a Consumer licensing agreement. No goodwill impairment was recorded; a $4.0 million trade-name impairment was included in restructuring expense.
