Sony Group Corp annual report, Q4 FY2024

Sony Group Corporation — Form 20-F summary

Business context and reporting period. This is an annual report for the fiscal year ended March 31, 2024, prepared under IFRS Accounting Standards. It is not a standalone 2023 Q4 filing; the supplied text does not provide a separate Q4 income statement or cash-flow summary. Sony reports Game & Network Services (G&NS), Music, Pictures, Entertainment, Technology & Services (ET&S), Imaging & Sensing Solutions (I&SS), and Financial Services.

Sony adopted IFRS 17 for insurance contracts in FY2024 and restated FY2023 comparative figures. Adoption reduced opening equity at April 1, 2022 by ¥1,490.7 billion, so financial-services comparisons should be read in light of the accounting change.

Revenue growth was approximately 13% on a constant-currency basis. The yen weakened on average against the U.S. dollar and euro. Reported cost of sales rose to ¥8,089.3 billion, and its ratio to product sales worsened from 71.1% to 71.8%; the SG&A ratio improved from 19.5% to 19.1%. R&D expense was ¥742.8 billion. Basic and diluted EPS were ¥788.29 and ¥785.68, respectively, down from ¥813.53 and ¥809.85.

Operating cash flow increased substantially, mainly reflecting lower inventory investment than in the prior year and higher income before tax after non-cash adjustments; increased receivables partly offset the improvement. At March 31, 2024, reported short-term borrowings were ¥1,812.6 billion, current long-term debt ¥217.7 billion and long-term debt ¥2,058.1 billion. Outlook, commentary and risks

  • FY2025–FY2027 plan: Sony targets at least 10% average annual growth in consolidated operating income and a three-year cumulative consolidated operating-income margin of at least 10%. It plans ¥1.7 trillion of capital expenditure, ¥1.8 trillion of strategic investment including flexible share repurchases, and forecasts ¥4.5 trillion of cumulative operating cash flow excluding Financial Services. It aims for a total payout ratio of approximately 40% in FY2027.
  • Capital allocation and shareholder returns: Under the prior three-year plan, cumulative Adjusted EBITDA was approximately ¥5.1 trillion, versus a ¥4.3 trillion target. Sony reported approximately ¥1.9 trillion of capital expenditure and ¥1.7 trillion of strategic investment, including approximately ¥400 billion of share repurchases. FY2024 dividends totaled ¥85 per share. A further buyback authorization of up to ¥250 billion was approved in May 2024.
  • Financial Services separation: Sony is preparing a partial spin-off and listing of Sony Financial Group, currently planned for October 2025. Execution, timing and tax treatment remain subject to assessments, approvals and other conditions.
  • Business priorities: Management plans to expand PlayStation engagement and software monetization, grow music and anime IP, strengthen content and creator-focused technology, and pursue selective image-sensor investment while addressing manufacturing yields and profitability.
  • Principal risks: Competition and pricing pressure; uncertain consumer demand; dependence on suppliers, distributors and third-party content; foreign exchange, interest-rate and market movements; geopolitical and regulatory developments; cybersecurity and intellectual-property risks; and possible impairment or failure to earn returns on acquisitions, content and capital investment.
  • Unusual items and contingencies: FY2024 included a ¥19.8 billion gain on transfer of part of Sony Payment Services and a ¥6.0 billion music-related remeasurement gain. Prior-year operating income included a ¥22.1 billion recovery of funds and ¥5.7 billion of litigation settlements. Sony reported several cyberattacks in FY2024, none assessed as material. Management said pending legal and regulatory proceedings were not expected, based on available information, to materially affect results or financial position.

Most important facts for investors to verify

  • Review the full consolidated cash-flow and debt disclosures, including debt maturities, lease liabilities, restricted cash and the distinct liquidity needs of Financial Services.
  • Assess whether operating-income trends in G&NS, I&SS and Financial Services, and the reported cash-flow improvement, are sustainable rather than dependent on currency, market movements or working-capital timing.
  • Track performance against the FY2025–FY2027 targets, capital spending and strategic-investment plans, and management’s expected shareholder payout ratio.
  • Confirm progress, approvals, tax implications, timing and shareholder treatment for the planned Financial Services spin-off.
  • Consider IFRS 17’s impact on comparability, including the substantial transition adjustment to opening equity and market sensitivity of insurance liabilities.
  • Note the announced five-for-one stock split, scheduled for October 1, 2024, and consider its effect on per-share comparisons.
