Business context and reporting period
Sociedad Química y Minera de Chile S.A. (SQM; NYSE: SQM) filed this Form 20-F annual report for the fiscal year ended December 31, 2023. The filing is not a standalone fourth-quarter report; it presents audited full-year results and selected fourth-quarter lithium data. Financial statements are prepared under IFRS as issued by the IASB and reported in U.S. dollars. SQM produces lithium and derivatives, iodine, specialty plant nutrients, potassium products, and industrial chemicals, principally from operations in Chile.

Material changes versus the prior comparable period
- Revenue fell 30.3%, gross profit declined 46.4%, and net income decreased 76.2% year over year. The reported net income includes a significant tax adjustment described below.
- Lithium revenue declined 36.5% to US$5,180.1 million: average prices fell about 41.4% to US$30,500 per metric ton, partly offset by 8.4% higher sales volumes. Fourth-quarter lithium sales were about 51,000 metric tons at an average price of US$15,400 per metric ton.
- Specialty plant nutrition revenue fell 22.0% to US$913.9 million, mainly reflecting lower prices and slightly lower volumes. Potassium revenue fell 36.2% to US$279.1 million as prices dropped about 43.5%, partly offset by 13.0% higher volumes.
- Iodine revenue rose 18.3% to US$892.2 million, with average prices up 15.2% and volumes up 2.7%. Industrial chemicals revenue increased 6.1% to US$175.2 million as higher volumes more than offset lower prices.
- Operating cash flow swung from US$4,077.6 million provided in 2022 to US$196.6 million used in 2023. Cash taxes paid rose to US$2,309.6 million from US$1,648.7 million. - Financial debt rose from US$2,917.2 million to US$4,469.9 million, while cash and cash equivalents declined from US$2,655.2 million to US$1,041.4 million. The company issued US$750 million of 6.50% notes due 2033 in November 2023.
Outlook, management commentary, risks and unusual items
- Outlook: Management expects global lithium demand to grow at least 20% in 2024, but expects industry capacity oversupply to continue pressuring prices. SQM anticipates lithium sales volumes 5–10% higher in 2024 and prices relatively stable in the near term, subject to market conditions. It expects iodine volumes to be broadly flat, specialty plant nutrient demand to recover, and potassium sales volumes could reach 600,000 metric tons.
- Investment and capacity: Management expects 2024 capital expenditures of approximately US$1.3 billion and approximately US$2.4 billion for 2024–2025. Targets include Chilean lithium carbonate capacity of about 210,000 metric tons in 2024 and lithium hydroxide capacity of 100,000 metric tons in 2025. Mt. Holland’s concentrator produced first concentrate in late 2023; the Kwinana refinery is under construction, with completion expected in 2025.
- Salar de Atacama and Codelco: Corfo exploitation agreements expire December 31, 2030; Salar de Atacama-origin products represented 73% of 2023 consolidated revenue. SQM and Codelco signed a non-binding MoU for a proposed partnership extending operations through 2060. Definitive agreements remained under negotiation, so continuation beyond 2030 is not assured.
- Tax contingency and unusual charge: Chile’s tax authority has assessed and SQM Salar has paid US$986.3 million in disputed specific mining taxes on lithium extraction. After an adverse April 5, 2024 appellate ruling in one case, SQM recognized a US$1,089.5 million tax expense in the 2023 statements as an adjusting subsequent event. The ruling is appealable and does not resolve all claims; SQM disputes the tax’s application. The adjustment reduced reported 2023 net income but did not itself significantly affect 2023 cash flows because the assessed amounts had already been paid. Net income excluding this adjustment was US$2,012.7 million, as stated by management.
- Other risks and developments: The filing highlights commodity-price volatility, EV and battery-technology demand, competitors and supply growth, permitting and environmental constraints, water availability, labor and community relations, Chilean regulatory and political changes, shipping and currency risks. A community blockade temporarily shut Salar de Atacama operations for one day in January 2024. SQM also disclosed a non-public SEC fact-finding inquiry concerning alleged potential FCPA and other anti-corruption violations; the company said it is cooperating and that no conclusion had been reached. The Pomona groundwater case was terminated after SQMNA paid the reduced US$30.3 million award. The Lindsay groundwater case remains pending.
- Assurance: The auditor issued an unqualified opinion on the IFRS financial statements and concluded internal control over financial reporting was effective. Critical audit matters included bulk-inventory volume estimates and environmental, tax, and legal contingencies.
Most important facts for investors to verify
- Progress, final terms, approvals and economic allocation under the proposed Codelco partnership, given the 2030 expiry and substantial revenue dependence on Salar de Atacama.
- Status and potential financial consequences of the lithium mining-tax claims, including appeals, future assessments and the accounting treatment of the US$1,089.5 million adjustment.
- Realized lithium prices, sales volumes and cash generation in 2024 against management’s outlook and the continuing supply surplus.
- Execution, cost, commissioning and permitting of the stated capacity expansions and the US$2.4 billion 2024–2025 capital program.
- Liquidity and debt refinancing needs, particularly the 2025 note maturity, alongside dividends and investment spending.
- Developments in the SEC inquiry, environmental compliance proceedings and community relations, including any operational restrictions or additional liabilities.
