Segment revenue and operating income: Performance Sensing was $713.3 million and $185.1 million, respectively, versus $667.8 million and $169.1 million; Sensing Solutions was $257.8 million and $72.5 million, versus $283.5 million and $84.0 million. Performance Sensing growth reflected content growth in Automotive and heavy vehicle/off-road. Sensing Solutions declined primarily due to industrial-market inventory destocking, partly offset by aerospace growth.

Cash, debt and capital allocation

  • Cash and cash equivalents were $460.4 million at March 31, versus $508.1 million at year-end. Current assets were $2.10 billion and current liabilities $794.0 million.
  • Gross indebtedness, including finance leases and excluding debt discounts and financing costs, was $3.42 billion. Net debt was $2.96 billion; reported non-GAAP net leverage was 3.3x and gross leverage 3.8x.
  • The company had $746.1 million available under its $750 million revolving facility, net of letters of credit, and approximately $2.0 billion of incremental borrowing capacity under its accordion. It reported covenant compliance and said available liquidity should fund needs for at least 12 months, while cautioning that future cash generation and borrowing availability are not assured.
  • Cash used in investing was $42.1 million, including capital expenditures. Management expects approximately $175 million of capital expenditures in 2024, funded from cash on hand.
  • Financing cash outflows included $79.4 million to acquire the remaining 50% interest in a joint venture, $18.1 million of dividends and $10.1 million of share repurchases. $461.8 million remained under the share-repurchase authorization. A $0.12-per-share dividend was announced for payment in May 2024.

Material changes, outlook and risks

  • Revenue was nearly flat in reported terms. Higher cost of revenue as a share of sales, attributed to foreign exchange, inflation in materials and logistics, pricing recoveries and unfavorable product mix, weighed on margins. Lower restructuring charges partly offset the gross-margin pressure.
  • Interest expense fell $10.4 million, primarily following debt repayments in 2023. This benefit was more than offset below operating income by an $11.5 million net loss in “Other, net,” including a $14.8 million loss from an observable price change in an equity investment.
  • The company realigned its segments, combining Automotive and HVOR within Performance Sensing, moving Insights to “Other,” and shifting certain shorter-cycle businesses to Sensing Solutions. Comparatives were recast. Management reported no additional goodwill impairment trigger in the quarter; it had recorded an impairment of the Insights reporting unit in 2023.
  • A restructuring plan initiated in 2023 is expected to affect 510 positions and incur total charges of $20.5 million to $25.5 million, mostly for workforce reductions. Most actions were expected to be completed by June 30, 2024; charges are expected to be paid in cash. Q1 restructuring and other charges were $0.8 million.
  • CEO Jeff Cote retired effective April 30, 2024; Martha Sullivan became interim CEO on May 1, and the company established a CEO search committee. A cooperation agreement with Elliott included appointment of an independent director effective July 1, 2024.
  • Management disclosed material weaknesses in internal control over financial reporting, including deficiencies in risk assessment, control activities and accounting staffing, notably affecting inventory and account reconciliations in Mexico. Disclosure controls were deemed ineffective as of March 31. Remediation is underway, but timing and completion are not assured.
  • The filing gives no specific revenue or earnings guidance. Risks include market and demand conditions, supplier disruption, competition, product liability and warranty claims, labor costs, and foreign-exchange exposure. Management said no material changes to previously disclosed risk factors or market risks occurred during the quarter. Ordinary-course litigation was not expected to have a material adverse effect.
