- One customer accounted for 11.4% of consolidated revenue (€123.6 million); the ten largest customers accounted for 45.5%.
Material changes versus the prior comparable period
- Revenue growth was supported by higher volumes in both segments and a stronger mix of high-value products. Constant-currency revenue growth was 11.2%.
- COVID-19-related revenue fell to an estimated 1.6% of total revenue from 11.2% in 2022. Within Biopharmaceutical and Diagnostic Solutions, it declined to €17.2 million from €110.5 million.
- Profit grew more slowly than revenue. Gross margin fell amid lower EZ-Fill vial volumes, facility start-up costs, higher depreciation and currency translation. Consolidated operating margin also declined.
- Operating cash flow was nearly flat despite higher profit. Working-capital outflows included €113.6 million from inventories and contract assets and €93.9 million from receivables and other assets; higher payables and other liabilities provided €105.0 million of cash.
- Investing cash outflow increased to €421.2 million, primarily reflecting capacity expansion. Financing cash flow was €158.0 million positive, chiefly from new borrowing, versus €44.5 million used in 2022.
- Year-end financial liabilities were €398.9 million, compared with €219.2 million in 2022. The increase reflects new borrowing, including €160 million of term loans drawn in 2023, as well as higher use of short-term facilities.
Liquidity, debt and investment
At December 31, 2023, current assets were €861.9 million and current liabilities €574.4 million. Cash was €69.6 million; short-term facilities totaled €143.3 million, of which €84.0 million was drawn. The company said cash, undrawn committed facilities and expected operating cash generation should cover investment and working-capital needs for at least 12 months. It reported compliance with financial covenants at year-end.
FY 2023 CAPEX was €453.3 million, including €417.3 million for growth and capacity expansion. The largest disclosed investments were EZ-Fill production lines and buildings in Fishers, Indiana (€216.9 million) and Latina, Italy (€120.5 million). Remaining committed orders for ongoing investments were approximately €136.5 million, net of the expected BARDA contribution. The company also disclosed two post-year-end loans totaling €80 million to support capacity expansion.
Outlook, management commentary, risks and unusual items
- Outlook: The filing does not provide quantified full-year 2024 revenue or earnings guidance. Management expects COVID-19 contributions to continue declining and to normalize into the broader vaccination business. It expects 2024 margins to remain tempered by new-facility ramp-up inefficiencies and higher depreciation. Fishers commercial production was expected to begin in 2024; Latina began commercial production in Q4 2023. The China expansion was delayed to prioritize U.S. and Italian facilities.
- Expansion and customer demand: Management cited demand outpacing initial expectations in the U.S. and Italy. Execution, qualification and ramp-up of new capacity remain important to growth and margins. Backlog was €944.9 million, down from €957.0 million; order intake was €1,073.2 million. The company cautions that backlog may be delayed, changed or canceled and is not a reliable guarantee of future revenue.
- Unusual costs and items: Start-up costs for the Indiana and Latina plants were €12.0 million in 2023, compared with €6.2 million in 2022; restructuring charges were €0.3 million. Other operating income fell to €10.4 million from €18.8 million; 2022 included approximately €7.6 million related to compensation for an unfulfilled contract. Net foreign-exchange differences were a €9.9 million loss in 2023, versus a €0.9 million gain in 2022.
- Controls and audit: The financial statements received an unqualified audit opinion, but management and the independent auditor concluded internal control over financial reporting was not effective at December 31, 2023. Material weaknesses involved staffing and control expertise, account and disclosure controls, period-end reporting, segregation of duties, and IT general controls. Management began remediation and expects to continue it through 2024; completion and effectiveness are not assured.
- Key risks: Product quality or recall events; customer destocking and concentration; supplier constraints and material or energy costs; manufacturing disruptions; competitive and technology changes; currency and interest-rate movements; and regulation, including possible restrictions on ethylene oxide sterilization. Geopolitical conflict may disrupt supply chains. The company also cites credit risk, covenants on financing, and potential tax, environmental, litigation and cybersecurity exposures.
- Contingencies: Guarantees issued to third parties totaled €128.1 million at year-end. Management stated current legal proceedings were not expected to have a material effect, while noting outcomes remain uncertain. A €1.3 million provision was recorded for U.S. employment and personnel matters.
Important facts for investors to verify
- Review the auditor’s internal-control opinion and management’s remediation milestones, including whether material weaknesses are resolved and controls operate effectively.
- Track cash conversion, receivables, contract assets and inventory, and how much of the substantial capacity investment translates into operating cash flow.
- Monitor gross and operating margins as Fishers and Latina ramp up, including start-up costs, depreciation and volume utilization.
- Assess the durability of high-value solution growth and the effects of COVID-related declines, customer destocking and the 11.4% largest-customer concentration.
- Verify debt maturities, interest-rate exposure, covenant headroom and liquidity after the €80 million of post-year-end loans and continued investment commitments.
- Compare actual order intake, backlog conversion and 2024 performance with management’s commentary; the filing provides no quantified 2024 guidance.
