Reporting period: Quarter and nine months ended September 30, 2022. The company is a clinical-stage biotech with no product revenue. Financial performance and position
| Metric | Q3 2022 | Q3 2021 | Nine months 2022 | Nine months 2021 |
|---|---|---|---|---|
| Revenue | $0 | $0 | $0 | $0 |
| General and administrative expense | $2.4m | $1.3m | $5.6m | $4.0m |
| Research and development expense | $2.6m | $2.0m | $8.7m | $5.0m |
| Net loss | $4.9m | $3.3m | $14.1m | $9.0m |
| Net loss attributable to common stockholders | $5.2m | $3.3m | $14.4m | $17.9m |
| Loss per share, basic and diluted | $0.33 | $0.25 | $0.95 | $1.51 |
Amounts are rounded; financial statement figures are in thousands. The nine-month common-stockholder loss was lower than in 2021 largely because 2021 included substantial preferred-stock deemed dividends and accretion. Operating losses increased as VCN expenses entered the results and development spending rose. No operating margin is meaningful because the company had no revenue.
- Cash and liquidity: Cash and equivalents were $50.5m at September 30, 2022, plus $0.09m restricted cash. Current assets were $52.7m and current liabilities $13.2m. Cash and restricted cash fell $16.7m during the first nine months.
- Cash flow: Operating activities used $13.7m, versus $8.1m in the comparable 2021 period. Investing activities used $4.3m, mainly for the VCN acquisition and a pre-acquisition loan; financing activities provided $1.4m, including Series C and D preferred-stock proceeds.
- Debt and obligations: Government loans totaled about $254,000, with $52,000 current and maturities extending through 2028. The company also reported $1.4m of lease liabilities and $11.9m of VCN contingent consideration, including a $9.5m current portion.
- Equity and dilution: The July private placement raised approximately $3.0m gross through convertible preferred stock, convertible into up to 2.46m common shares at $1.22 per share, subject to adjustments. A warrant exercise-price adjustment generated a $340,000 deemed dividend affecting loss attributable to common stockholders.
Material changes and transactions
- Theriva acquired all of VCN on March 10, 2022. Consideration was valued at approximately $23.9m, including $4.7m cash, common shares valued at $6.6m and contingent consideration valued at $12.2m. The acquisition added $20.1m of in-process R&D and $4.3m of goodwill at September 30, after measurement-period and foreign-exchange adjustments.
- The company agreed to fund VCN research, development and related costs under an approximately $27.8m budgetary plan. The acquisition also includes up to $70.2m of potential milestone, royalty and sublicensing-related payments. Following FDA clearance to proceed with a VCN-01 Phase 2 trial, a $3.0m payment to Grifols was expected in Q4 2022.
- Common stock underwent a 1-for-10 reverse split effective July 25, 2022. The company changed its name to Theriva Biologics and increased authorized common shares to 350m in October, after quarter-end; the ticker became TOVX.
- General and administrative expense rose primarily from VCN-related costs, including consulting and legal, insurance and administrative expenses. R&D rose mainly from VCN-01 development and, to a lesser extent, SYN-020 manufacturing and SYN-004 trial costs.
Outlook, commentary and risks
- Management reported $50.1m cash as of November 1, 2022. The filing gives differing runway estimates: one passage says cash could fund operations into Q1 2024, while another says through at least Q4 2023. Management says additional funding will be needed for future, larger clinical trials and is not committed.
- Management expects R&D spending to increase with the VCN-01 pancreatic cancer Phase 2 trial, a proposed retinoblastoma trial, expanded manufacturing and preclinical work. Recruitment for the pancreatic trial was expected to begin in Q4 2022; the filing does not provide revenue guidance.
- VCN-01 received FDA “safe to proceed” clearance for a Phase 2 pancreatic cancer trial, and the filing described encouraging but early clinical and biological findings. SYN-004’s first trial cohort was reviewed positively by the DSMC; the study remained blinded, and the DSMC recommended proceeding to Cohort 2. These developments are not proof of efficacy or regulatory approval.
- Key risks include ongoing losses and dependence on future financing or partners; potential dilution; clinical, manufacturing and regulatory uncertainty; possible delays from COVID-19, supply constraints, inflation and foreign-exchange effects; and impairment risk for acquired goodwill and in-process R&D. Despite a sustained decline in the share price that triggered interim testing, the company reported no impairment as of September 30.
- Management concluded disclosure controls were ineffective at September 30 because of an unremediated material weakness in controls over accounting and disclosure for non-routine transactions, including related tax analysis. VCN was excluded from the 2022 internal-control assessment while integration was ongoing.
Investor verification priorities
- Reconcile the stated cash runway estimates—Q4 2023 versus Q1 2024—and confirm subsequent cash use and financing needs.
- Check whether the expected $3.0m Grifols payment was made and track the timing, conditions and potential scale of VCN’s contingent payments and funding commitments.
- Review progress, enrollment, safety and efficacy evidence for VCN-01 trials, and the continuation and readout schedule for SYN-004; distinguish early or blinded findings from established clinical benefit.
- Assess potential dilution from preferred-stock conversion, warrants, equity-plan reservations and any future capital raising.
- Monitor remediation of the material weakness, integration of VCN controls, and future impairment assessments of goodwill and in-process R&D.
