Changes, outlook and notable items

  • Revenue rose about 152%, driven by higher deliveries and the P7 launch. Vehicle sales accounted for 94.9% of FY2020 revenue.
  • Gross margin turned positive, which management attributed to product mix, lower material costs and manufacturing-efficiency improvements. R&D expense declined 16.6% to RMB1.726 billion, while selling, general and administrative expense increased 150.8% to RMB2.921 billion, including higher marketing, network and compensation costs.
  • Operating loss widened despite the gross-margin improvement. Net loss narrowed partly in a year with a RMB1.362 billion fair-value gain on derivative liabilities related primarily to preferred-share redemption rights; this was not operating profit. Share-based compensation was RMB996.4 million, including a large IPO-related charge.
  • Liquidity was bolstered by 2020 IPO and follow-on offering net proceeds of approximately US$1.656 billion and US$2.445 billion, respectively. Management said existing cash and cash equivalents were expected to cover working capital and ordinary-course capital expenditures for at least 12 months. A January 2021 bank cooperation agreement offered access to a potential RMB12.8 billion credit line; the filing does not establish that the full amount was drawn.
  • Management planned a third vehicle model for 2021, a fourth for 2022, and manufacturing bases in Guangzhou and Wuhan. These are plans, not assured outcomes. XPeng also described continued investment in R&D, software monetization and sales/service capacity; it did not provide clear quantitative financial guidance in the supplied filing text.
  • Material risks include ongoing losses, competition, dependence on a limited model lineup and suppliers, chip and battery availability, subsidy reductions, COVID-19 disruption, execution of manufacturing expansion, and regulatory and geopolitical uncertainty. The filing also describes a voluntary recall of 13,399 G3 vehicles effective January 2021 for a possible inverter power-supply fault; the supplier was expected to bear replacement costs.
  • Management disclosed an outstanding material weakness in financial reporting controls: insufficient personnel with appropriate U.S. GAAP and SEC reporting expertise. Disclosure controls and procedures were assessed as not effective at December 31, 2020. Remediation was underway but required further testing.

Important facts for investors to verify

  • Whether subsequent filings show sustained positive vehicle gross margins and improved operating cash flow, excluding favorable working-capital timing.
  • Delivery growth, pricing and demand by model, and progress and costs for planned model launches and factory expansions.
  • Cash availability versus restricted balances, capital commitments, borrowings, lease obligations and raw-material purchase commitments.
  • The recurring cost of share-based compensation and the extent to which reported net loss is affected by non-operating fair-value movements.
  • Recall completion, warranty experience, supplier concentration and exposure to chip and battery constraints.
  • Remediation and testing of the material weakness, and audit-inspection and U.S. listing developments. The filing warns that the PCAOB could not inspect the auditor’s work in China.
