A $5.66 Billion Reason Why Braze Stock Is Up Today

Braze (BRZE) shares ripped higher on Tuesday after Salesforce (CRM) said it is buying the customer engagement specialist in a deal that values it at about $5.66 billion, including debt. The all-cash offer gives BRZE shareholders a massive premium and strengthens CRM’s push into personalized, artificial intelligence (AI) enabled marketing.

Following today’s surge, Braze stock is trading at roughly 3x its price in late February.

What the Salesforce Deal Means for Braze Stock

Salesforce’s buyout proposal values BRZE shares at $47.50 each, representing a rather exciting 58% premium on their previous close.

Braze helps brands react instantly to consumer behavior across apps, websites, email, and messaging services. Its artificial intelligence tools optimize which content reaches customers, through which channel, and at what moment. Salesforce plans to combine those capabilities with its customer data and marketing products.

For Braze, the combination promises greater resources to develop its platform, while shareholders receive a substantial premium upfront upon completion. Together, that explains the meteoric surge in BRZE on Oct. 20.

Is It Too Late to Invest in BRZE Shares?

While existing shareholders are cheering Salesforce’s announcement, the opportunity or remaining upside for new buyers is much narrower.

At $45.52, Braze shares currently sit just 4.8% below the deal price, before costs and taxes. Simply put, the acquisition-driven windfall has been baked in already.

The remaining discount reflects uncertainty and the closing timeline. CRM expects the transaction will complete in fiscal 2028, subject to shareholder and regulatory approvals.

That makes BRZE primarily a merger-arbitrage proposition — and since the software company’s share price could sink right back in if the deal collapses, fresh buyers must accept major downside risk for moderate gains at best.

Wall Street’s View on Braze

Heading into Oct. 20, the consensus rating on BRZE stock was set at “Strong Buy,” with a mean price target of about $38.

This means that Wall Street analysts did not expect Braze to be worth what Salesforce has agreed to pay for it as a standalone company — at least not in the near term.
