Will Bluevine Deal Strengthen Valley National's Growth Outlook?

Valley National Bancorp VLY is strengthening its funding profile and digital capabilities through the planned $340-million acquisition of Bluevine. The deal, comprising 75% cash and 25% stock, is expected to close in early 2027. Bluevine brings 175,000 active small-business customers and $2.1 billion in digitally sourced core deposits, along with an integrated banking, payments, lending and financial-management platform.

The acquisition could provide an immediate funding benefit. Bluevine’s deposits are expected to transition to Valley National within roughly 180 days of closing and replace some higher-cost brokered funding. Pro forma for Bluevine and the pending Providence Financial acquisition, Valley National expects its deposit cost to be 2.23% and its loans-to-deposits ratio to improve to 93%, closer to management’s 90% target.

Bluevine’s deposit base is also attractive, with about 99% coming from non-borrowing customers, creating opportunities to deepen relationships through lending and other products. The transaction would lift Valley National’s specialty deposits to roughly $15 billion pro forma, diversifying its funding base.

Financially, management expects the transaction to be more than 8% accretive to 2028 earnings per share (EPS), supported by about $50 million in run-rate pre-tax cost savings. This will be partly offset by roughly $20 million in annual pre-tax Durbin-related dis-synergies. The deal is expected to result in about 5% tangible book value dilution, with a roughly three-year earn-back, while CET1 is projected to be above 10.3% at closing.

The Bluevine deal also complements Valley National’s broader acquisition strategy. VLY’s pending Providence Financial acquisition is expected to strengthen its Chicagoland presence, while earlier deals expanded its geographic and business footprint. Unlike those transactions, Bluevine adds a nationwide digital customer-acquisition platform, low-cost deposits and in-house technology capabilities, potentially helping Valley National improve its funding mix, expand small-business banking and accelerate its digital transformation.

VLY’s Competitive Landscape

Among Valley National’s peers, Fulton Financial Corporation FULT is also expanding through acquisitions while emphasizing relationship-based banking and digital capabilities. Fulton recently completed the integration of Blue Foundry Bank, giving acquired customers access to its broader product suite and digital platforms.

Against this backdrop, Valley National’s Bluevine deal stands out for adding a nationwide, digital-first small-business channel rather than primarily expanding its branch footprint.

F.N.B. Corporation FNB is another relevant regional-bank peer, particularly given its emphasis on combining relationship banking with digital customer acquisition. FNB has continued to expand its proprietary eStore platform, recently adding business lending capabilities after previously introducing digital business-deposit products. These investments are aimed at deepening small-business relationships and increasing digital engagement.

Against this backdrop, Valley National’s acquisition of Bluevine could accelerate a similar objective by immediately adding a nationwide digital small-business platform, a sizable core-deposit base and integrated banking technology.

VLY’s Price Performance & Zacks Rank
