Continuing-operation revenue declined 4% year over year. At December 31, 2014, continuing cash and cash equivalents were $4.82 million, working capital was $3.9 million, and total assets were $29.54 million, down from $50.96 million in 2013. Current liabilities were $17.55 million; continuing short-term bank credit and current maturities of long-term debt were $4.42 million. DSIT had $1.12 million of restricted deposits securing guarantees. Cash used in financing activities was partly offset by approximately $4.0 million net proceeds from a November stock-and-warrant placement.
Fourth-quarter 2014 revenue was $5.22 million and operating loss was $2.59 million. The quarter included a $12.26 million loss from discontinued operations; Acorn-attributable net loss was $13.47 million.
Material changes versus the prior comparable period
- DSIT revenue fell 6% to $12.3 million; gross margin declined to 30% from 34%, mainly reflecting project mix and weather-related installation costs.
- GridSense revenue fell 11% to $4.5 million and gross margin fell to 29% from 36%. The company recorded a $1.77 million goodwill impairment and continued to report losses.
- OmniMetrix revenue rose 25% to $2.8 million, with gross margin increasing to 58% from 56%; cost reductions helped reduce its operating loss.
- Research and development expense declined to $2.71 million from $4.28 million, and selling, general and administrative expense declined to $12.02 million from $16.46 million, reflecting restructuring and lower corporate costs.
- USSI’s discontinued-operations loss widened to $19.14 million from $9.65 million, including substantial inventory, goodwill, intangible-asset, and fixed-asset write-offs.
Outlook, risks, contingencies, and unusual items
- Management expected significant DSIT cash generation and projected sufficient liquidity for Acorn, GridSense, and OmniMetrix for at least 12 months, relying in part on DSIT’s cash flow and receivable collections. This was an expectation, not a guarantee. GridSense and OmniMetrix were expected to need financing support in 2015; management aimed for both to be net cash-flow neutral in 2016.
- After year-end, DSIT reported more than $19 million in new orders, including a $15.4 million order for four hull-mounted sonar systems and an anti-submarine warfare trainer. The filing says DSIT expected significant 2015 revenue growth, but cautions that project timing and further orders are uncertain. Year-end backlog was $12.0 million for DSIT, $0.8 million for GridSense, and $1.9 million for OmniMetrix.
- In March 2015, Acorn stopped funding USSI; USSI suspended operations and terminated substantially all employees. Its $1.46 million bank debt was matured and due, secured by substantially all USSI assets, and not guaranteed by Acorn. Any residual proceeds for Acorn after creditor claims were uncertain.
- Acorn was not in compliance with financial covenants under its guaranty of GridSense’s credit line. The $1.48 million drawn balance was due on the bank’s demand, and repayment terms were under negotiation. GridSense also had receivables-based borrowing outstanding.
- Acorn disclosed material weaknesses in internal control over financial reporting and concluded that disclosure controls were not effective at year-end. Management reported no resulting material financial-statement misstatement and described remediation steps.
- Nasdaq notified Acorn that its share price had failed the $1.00 minimum bid requirement; the initial cure deadline was July 13, 2015. The filing also notes limited authorized unissued shares for a significant equity raise and the possibility of further dilution or alternative financing.
- Other key risks include customer and project concentration, long sales cycles, fixed-price contract cost estimates, dependence on DSIT cash support, foreign-exchange exposure, and potential impairment of remaining goodwill and intangibles. No legal proceedings were reported.
Most important facts an investor should verify
- Whether DSIT converted its large order backlog and receivables into cash on schedule, and whether cash support to Acorn and its subsidiaries was sustainable.
- The outcome of GridSense’s covenant default, demand-repayment negotiations, and access to working-capital financing.
- USSI asset-sale proceeds, creditor recoveries, and any liabilities or costs that may survive the shutdown.
- Progress in remediating internal-control material weaknesses and the status of subsequent financial reporting.
- Nasdaq listing compliance and the company’s actual financing capacity, including dilution and authorized-share constraints.
- Whether GridSense and OmniMetrix met the stated path toward cash-flow neutrality in 2016 and whether DSIT’s 2015 growth expectations materialized.
