At year-end, cash, cash equivalents and marketable securities totaled $8.037 billion, down from $10.647 billion. Material changes versus 2020

  • U.S. product sales decreased 4% to $17.286 billion, while rest-of-world sales increased 12% to $7.011 billion. Management attributed the overall flat product-sales result to volume growth offset by lower net selling prices.
  • Sales increased for Prolia (+18%), Repatha (+26%), Nplate (+21%) and XGEVA (+6%). Neulasta fell 24%, ENBREL 11% and Aranesp 6%, amid pricing pressure and competition, including biosimilars.
  • Operating income and earnings declined as higher operating expenses, including acquisition and collaboration-related R&D charges, more than offset revenue growth. Other revenues rose 42% to $1.682 billion, primarily reflecting COVID-19 antibody material sales under a manufacturing collaboration.
  • Cash from operations declined by $1.236 billion; management cited the prior-year monetization of interest-rate swaps and timing of sales-incentive and discount payments. Investing cash flow was positive $733 million, including net marketable-securities inflows and $2.529 billion of acquisition spending. Financing cash outflow was $8.271 billion.

Outlook, commentary, risks and unusual items

  • Management expected portfolio-level net selling prices to continue declining in 2022 due to competition. It also anticipated variable demand in the first half of 2022 amid Omicron-related effects and said the pandemic’s cumulative reduction in diagnoses could continue to constrain new treatment starts.
  • Amgen reported no COVID-related medicine supply disruptions or shortages to date, but identified potential risks to clinical trials, patient access, demand, supply chains and operations.
  • Major business developments included the Five Prime acquisition for approximately $1.6 billion net of acquired cash, Teneobio’s acquisition for $994 million upfront plus potential milestone payments, and a $400 million upfront payment under the KKC collaboration. Teneobio’s potential contingent payments are up to $1.6 billion; KKC payments may reach $850 million under specified milestones.
  • The company repurchased 21.7 million shares for approximately $5.0 billion and paid $4.0 billion in dividends during 2021. The board declared a first-quarter 2022 dividend of $1.94 per share. Amgen said it expected available funds, operating cash flow and financing access to meet anticipated needs.
  • Amgen is contesting IRS notices for 2010–2012 that could result in approximately $3.6 billion of additional federal tax plus interest, subject to a potential reduction of up to approximately $900 million for previously accrued repatriation tax. Gross unrecognized tax benefits were $3.546 billion; accrued interest and penalties on these benefits were $881 million. The company said final resolution was not likely within 12 months.
  • Other key risks include intensifying biosimilar and generic competition, payer pricing and reimbursement pressure, reliance on three wholesalers (82% of worldwide gross revenues in 2021), manufacturing concentration in Puerto Rico and Thousand Oaks, litigation and patent challenges, and clinical-development and regulatory uncertainty. Amgen reported effective disclosure controls and internal control over financial reporting; the auditor issued unqualified opinions on the financial statements and internal controls.

Important facts for investors to verify

  • Track the IRS transfer-pricing dispute, tax accruals and potential exposure, as well as material litigation and patent outcomes.
  • Assess whether growth in newer products and ROW sales can offset U.S. pricing pressure and declining sales of products facing biosimilar competition.
  • Monitor 2022 pricing, demand and patient-access trends, including continued pandemic effects and payer decisions.
  • Verify progress, costs and supply impact from manufacturing expansion and the company’s contingent milestone obligations.
