Nine-month investing cash flow was a net inflow of $126.1 million, primarily reflecting $134.5 million of divestiture proceeds. Financing cash flow was a $59.2 million outflow, including the $50.0 million debt repayment and $10.0 million contingent-consideration payment. Total assets were $324.8 million and current liabilities were $85.9 million at February 29, 2024.

Material changes and unusual items

  • Revenue declines included the effects of selling the dialysis and BioSentry businesses and, in February 2024, the PICC and Midline businesses. Management estimated these sales reduced comparable-period revenue by $9.6 million for the quarter and $25.6 million for the nine months.
  • The company recorded a non-cash $159.5 million goodwill impairment in Med Tech after a sustained decline in its stock price triggered an impairment assessment. It also recorded $35.4 million of acquisition, restructuring and other costs in the quarter, including a $19.3 million BD settlement expense, restructuring costs, and impairment and inventory write-offs relating to discontinued product lines.
  • Asset sales generated a $6.7 million pre-tax gain in the quarter and $54.5 million for the nine months. The PICC and Midline sale yielded $34.5 million in cash, plus a possible $5.5 million earn-out and a $5.0 million manufacturing-transfer milestone payment. The earlier dialysis and BioSentry sale yielded $100.0 million.
  • Med Tech growth was led by Auryon and NanoKnife, partly offset by softness in thrombus management. Med Device sales fell primarily because of the divestitures. A $1.0 million recall reserve reduced gross profit in the quarter.
  • Gross margin fell year over year in both segments. Management cited product mix, production volume and other costs, and, for the nine-month period, inflationary costs, labor shortages and freight.

Outlook, liquidity, and risks

Management said existing cash, together with expected operating cash generation, should meet anticipated capital needs for at least the next 12 months. The filing provides no numerical revenue or earnings guidance. The company’s announced manufacturing-footprint restructuring will shift all product manufacturing to third parties; completion is expected in fiscal Q3 2026. Estimated total plan costs are $38.5 million to $43.25 million, including approximately $13.6 million of non-cash accelerated depreciation and building impairment. Management expects the plan to improve the company’s ability to compete and change its gross-margin profile.

A March 31, 2024 settlement with BD provides for a $7.0 million lump-sum payment, six minimum annual payments of $2.5 million through February 2029, and possible additional payments tied to port-product sales. A further $3.0 million could be due if a pending appeal results in reversal or vacatur of specified findings. The company recorded $19.3 million for the lump sum and present value of minimum payments in the quarter’s results, with related assets and liabilities on the balance sheet.

Key disclosed risks include continued operating cash use, execution of the outsourced-manufacturing transition, product development and regulatory outcomes, litigation and product-liability exposure, supply-chain and labor constraints, inflation, competition, and foreign-currency movements. The company also maintained a valuation allowance on certain deferred tax assets because it had not achieved sustained profitability. Management stated that disclosure controls were effective and that there was no material change in internal control over financial reporting during the quarter.

Important facts for investors to verify

  • How much of the revenue and margin decline reflects divestitures versus underlying demand, especially in Med Device and thrombus management.
  • Whether Med Tech performance and the assumptions underlying the $159.5 million goodwill impairment indicate further impairment risk.
  • The timing, cash costs, savings, and operational risks of the restructuring and full move to third-party manufacturing.
  • Actual cash burn and liquidity after the BD settlement payments, minimum annual payments, and any contingent appeal payment.
  • Progress on growth products, recall-related costs, and the company’s ability to improve segment gross margins and reach sustained profitability.
