Revenue comprised €22.4 million of upfront-payment recognition, €28.1 million of milestone revenue and €19.3 million of R&D service fees. Significant losses reflect a rapidly expanding development and commercial-readiness effort. No conventional profit margin is meaningful for this pre-commercial company.

Net cash from operating activities was €134.6 million, versus €53.8 million used in 2018. Investing activities used €744.3 million, principally reflecting €708.1 million invested in current financial assets and the Halozyme technology license. Financing activities provided €659.4 million, including €479.2 million net proceeds from the November global offering and €176.7 million from the Johnson & Johnson-affiliated equity investment. Cash and cash equivalents alone ended the year at €331.3 million; the larger €1.336 billion liquidity figure also includes current financial assets.

The filing reports no ongoing material financing commitments such as credit lines or guarantees. Lease liabilities were €6.5 million at year-end. Contractual obligations included €91.4 million of purchase obligations, mainly manufacturing-related; disclosed commitments included approximately €53.4 million for efgartigimod, €34.4 million for cusatuzumab and €3.6 million for ARGX-117. The company reported no off-balance-sheet arrangements.

Material changes versus 2018

  • Revenue rose substantially following collaboration milestones and recognition of Janssen-related upfront and R&D amounts. Of the €300 million Janssen upfront cash payment, revenue is recognized over the service period; €289.0 million remained deferred at year-end across current and non-current liabilities.
  • R&D expense more than doubled, with efgartigimod external R&D costs rising to €84.2 million and cusatuzumab costs to €38.7 million as trials and manufacturing advanced. R&D headcount increased from 75 to 118.
  • SG&A increased to €64.6 million, including hiring and preparation for potential U.S. commercialization; SG&A headcount rose from 30 to 70.
  • Liquidity increased after the November 2019 offering, the Janssen-related equity investment and collaboration receipts. Outstanding ordinary shares rose to 42,761,528 at year-end.
  • argenx adopted IFRS 16 for leases in 2019, recognizing right-of-use assets and lease liabilities. The filing states this did not significantly affect financial-performance metrics.

Outlook, commentary and risks

  • Management expected existing cash, cash equivalents and current financial assets to fund operating expenses and capital requirements for at least the next 12 months, based on then-current assumptions. It also expected continuing significant losses and rising development, manufacturing and commercialization costs.
  • As of the filing, topline Phase 3 ADAPT results for efgartigimod in generalized myasthenia gravis were expected by mid-2020, with a potential BLA submission in Q4 2020 if results supported it. The company targeted a potential U.S. launch in 2021, subject to approval.
  • Additional efgartigimod development was planned in ITP, pemphigus vulgaris and CIDP. The filing described a Phase 3 ITP program and anticipated further ITP and PV trials in 2020; these were plans, not assured outcomes. Cusatuzumab development with Janssen included AML and high-risk MDS trials.
  • COVID-19 was identified as a potential source of trial-enrollment, site, supply-chain and operational disruption, with possible effects on timelines, costs and financing conditions. The impact was uncertain.
  • Key risks include clinical-trial failure or delay, regulatory and manufacturing setbacks, dependence on collaborators and contract manufacturers, competition, reimbursement and pricing pressure, patent disputes, foreign-exchange exposure and potential need for additional capital. The company reported no current legal, governmental or arbitration proceedings and no cash dividends were expected in the foreseeable future.
  • The company reported that a material weakness in internal control over financial reporting identified at December 31, 2018 had been remediated; management and the auditor concluded controls were effective at December 31, 2019. The financial-statement audit was unqualified; the auditor highlighted collaboration-revenue accounting and R&D accrual estimates as critical audit matters.

Important facts for investors to verify

  • Whether the reported cash and current financial assets remain available as expected, including liquidity, investment composition and currency exposure.
  • Clinical-trial results, regulatory progress and actual timing for efgartigimod and cusatuzumab, compared with the filing’s stated expectations.
  • The assumptions, cost-to-complete estimates and revenue-recognition schedule underlying the €289.0 million Janssen-related deferred revenue balance.
  • Whether collaboration cost-sharing, milestone and royalty terms—and substantial Lonza manufacturing commitments—change as programs advance.
  • The evolving effects of COVID-19 on trial execution, manufacturing, expenses and the stated cash runway.
  • Potential dilution from equity financing and share-based compensation; 4.36 million employee-plan options were outstanding at December 31, 2019.
