Bioventus Inc. annual report, FY2021

Business context and reporting period

Bioventus Inc. filed this Form 10-K for the fiscal year ended December 31, 2021; it reports full-year results, not a standalone 2021 fourth quarter. The company develops and sells minimally invasive medical treatments across Pain Treatments, Surgical Solutions and Restorative Therapies. Its U.S. and International segments generated 90% and 10% of 2021 sales, respectively.

2021 included the March acquisition of Bioness and the October acquisition of Misonix, as well as Bioventus’s February IPO. Acquisition contributions and recovery from COVID-19-affected 2020 activity materially affect year-over-year comparisons.

Consolidated net income was $9.6 million, while net income attributable to Bioventus Inc. was $19.4 million, reflecting $9.8 million of losses attributed to noncontrolling interests. Class A loss per share was $0.15 for the post-IPO period beginning February 16, 2021; it is not a full-year comparable per-share measure.

U.S. sales were $387.6 million, up 32.0%; International sales were $43.3 million, up 57.8%. Sales by vertical were Pain Treatments $221.6 million, Restorative Therapies $121.6 million and Surgical Solutions $87.7 million. Management attributed growth to acquisitions and higher volume as activity recovered from pandemic impacts, partly offset by lower prices under certain insurer contracts. Acquisitions contributed approximately $49.4 million of sales from their respective closing dates.

Gross margin declined partly because of acquired-product mix, acquisition-related amortization and supply-chain delays. SG&A rose 31.7% to $254.3 million, reflecting acquisitions, public-company costs and normalized spending versus 2020. R&D rose 70.0% to $19.0 million. Adjusted EBITDA increased despite lower U.S. segment Adjusted EBITDA; International segment Adjusted EBITDA increased to $10.1 million from $3.2 million.

Cash, cash equivalents and restricted cash totaled $99.2 million at year-end, including $43.9 million of cash and equivalents and $55.3 million of restricted cash. Investing cash outflow was $283.8 million, principally reflecting acquisitions; financing cash inflow was $273.4 million, including debt and IPO proceeds. Net debt principal outstanding was approximately $357.7 million, with a $50.0 million revolving facility and approximately $49.9 million of availability. The term loan matures in October 2026; the company reported compliance with its financial covenants at year-end. Management said existing cash, revolver capacity and expected operating cash flow should cover anticipated requirements for at least 12 months.

Material changes, outlook and risks

  • Acquisitions and funding: Misonix consideration totaled $525.3 million, including cash, Bioventus shares, options and amounts used to settle debt and expenses. Bioness required $48.9 million upfront; contingent consideration had a year-end fair value of $15.5 million, with maximum potential earn-outs reduced to $50.0 million after a $15.0 million FDA milestone was deemed unlikely.
  • CartiHeal commitment: Bioventus deposited $50.0 million into escrow and expected FDA approval of Agili-C in the first half of 2022. The proposed purchase of the remaining shares was approximately $314.9 million, inclusive of the escrow deposit, with up to $135.0 million of additional sales-milestone payments. Approval and closing were not assured.
  • Pipeline and regulatory uncertainty: The FDA identified deficiencies in the EXOGEN metatarsal-fracture PMA supplement; the company was reanalyzing data and warned approval could be delayed or denied. MOTYS sales ceased in the U.S. after FDA enforcement discretion ended in May 2021; resumption requires BLA approval. Agili-C, MOTYS, PROcuff and expanded EXOGEN indications involve clinical and regulatory risks.
  • COVID-19 and supply: Patient visits, elective procedures, supply-chain continuity and customer payments remained uncertain. The company cited single-source suppliers, component shortages and allograft availability as risks. HA products accounted for 51% of 2021 revenue, creating product concentration.
  • Other unusual items: The company recorded $5.7 million of impairment on Harbor assets and $1.4 million on its Harbor investment after terminating the collaboration. It also reported a voluntary Class II recall of certain ultrasound-gel vials supplied with EXOGEN; replacement gel was sourced, and $126,000 remained reserved at year-end. A $3.6 million Medicare claims settlement was finalized in February 2021.
  • Guidance: The filing does not provide a clear quantified 2022 revenue or earnings forecast. Management described growth strategies and expected R&D spending to rise to the mid-single digits as a percentage of sales, but results remain subject to acquisition integration, reimbursement, regulatory, pandemic and supply risks.
  • Contingencies and governance: Litigation includes Misonix-related stockholder disclosure claims and a Bioness shareholder fee dispute; the filing says outcomes or potential losses were not clearly estimable for certain matters. The 85% Tax Receivable Agreement could require significant future cash payments when tax benefits are realized. Bioventus reported effective disclosure controls and internal control over financial reporting; acquired Bioness and Misonix were excluded from management’s internal-control assessment.

Investor verification priorities

  1. Separate organic growth from acquisition contributions and COVID-19 recovery; verify the sales and margin trends by segment and product vertical.
  2. Reconcile GAAP net income, noncontrolling-interest allocations, post-IPO loss per share and the non-GAAP Adjusted EBITDA adjustments.
  3. Assess cash generation and restricted-cash availability against debt service, CartiHeal funding, contingent payments and other contractual commitments.
  4. Track CartiHeal FDA review and purchase obligations, EXOGEN supplement progress, MOTYS development costs and other pipeline milestones.
  5. Monitor reimbursement and pricing exposure, especially HA products and the proposed FDA down-classification of bone growth stimulators.
  6. Review integration execution, supplier concentration, recall resolution, litigation developments and the potential cash impact of the Tax Receivable Agreement.
