Beyondspring Inc. annual report, Q4 FY2022

BeyondSpring Inc. — FY2022 Form 20-F Summary

Reporting period: Fiscal year ended December 31, 2022. This is an annual report, not a standalone 2022 fourth-quarter filing. Financial statements are prepared under U.S. GAAP; amounts below are U.S. dollars.

Business context

BeyondSpring is a clinical-stage biopharmaceutical company with no approved products and no product-sales revenue. Its lead candidate, plinabulin, is being developed for chemotherapy-induced neutropenia (CIN), advanced non-small cell lung cancer (NSCLC), and other cancer indications. Its subsidiary SEED develops targeted protein degradation (TPD) candidates and collaborates with Eli Lilly. BeyondSpring owns global plinabulin rights except in Greater China, where its 57.97%-owned subsidiary has the rights and has partnered with Hengrui.

Financial performance and liquidity

Research and development expense$25.582 million$36.888 million
General and administrative expense$13.008 million$30.703 million

Net cash used in operating activities$27.464 million$47.242 million
  • All FY2022 revenue came from SEED’s Lilly collaboration; the company reported no product-sales revenue. Revenue was unchanged from 2021.
  • Cash and cash equivalents were $34.396 million, and short-term investments were $2.872 million, totaling $37.268 million at year-end. Cash and cash equivalents fell from $41.625 million a year earlier.
  • Current assets were $38.523 million and current liabilities $7.352 million, leaving $31.171 million in net current assets. Total assets were $46.222 million, total liabilities $49.229 million, and total equity was negative $14.081 million. Accumulated deficit was $375.276 million.
  • The $1.569 million China Construction Bank loan was repaid in March 2022; no loan balance remained at year-end. Operating lease liabilities totaled $4.961 million.
  • Deferred revenue was $35.572 million in total. The Hengrui upfront payment is recognized over time under the agreement; no Hengrui revenue was recognized in 2022. Gross margin is not a meaningful measure given the company’s development-stage operations.

Changes from the prior comparable year

  • Net loss narrowed by about 47%, while operating loss fell about 44%. R&D expense declined 31% and G&A expense declined 58%, primarily reflecting lower clinical and regulatory spending, reduced pre-commercialization costs, and the January 2022 workforce and cost-reduction initiative.
  • Operating cash use decreased by $19.8 million. Investing activities provided $17.560 million, mainly from maturities of short-term investments; financing activities provided $3.431 million, including $5.0 million from SEED preferred-share issuance, partly offset by loan repayment.
  • Beginning in 2022, management reported two segments: the Plinabulin pipeline and the TPD platform. TPD R&D expense rose to $7.442 million from $4.851 million, while Plinabulin pipeline R&D expense declined.

Outlook, commentary, risks and unusual items

  • Going concern: The auditor’s report and financial-statement note state that substantial doubt exists about BeyondSpring’s ability to continue as a going concern. The company has recurring losses and negative operating cash flows, and says continuity depends on executing cost reductions and obtaining timely regulatory approvals. It expects to need additional financing; no clear cash-runway estimate is provided.
  • Cost actions: The January 2022 streamlining included a workforce reduction and $0.9 million of severance costs, paid during 2022, and deferral of certain R&D and clinical projects.
  • CIN regulatory path: The FDA issued a Complete Response Letter in November 2021, saying PROTECTIVE-2 results were not sufficiently robust and that another well-controlled trial would be required. In March 2023, after the fiscal year-end, BeyondSpring withdrew its China CIN NDA and planned to refile by mid-2023. The filing does not report a subsequent approval.
  • NSCLC: Management reported positive topline DUBLIN-3 Phase 3 results: median overall survival of 10.5 months with plinabulin plus docetaxel versus 9.4 months with docetaxel alone (hazard ratio 0.82; log-rank p=0.0399). Management anticipated a China NDA filing by mid-2023 and was discussing the U.S. regulatory pathway; approval and timing remain uncertain.
  • Partnerships: Hengrui paid a $31.039 million upfront amount in 2021 and may owe regulatory and commercial milestones of up to approximately $170.7 million, plus sales-based payments. SEED’s Lilly agreement includes potential milestones of up to approximately $780 million and royalties; amounts are contingent, not assured. SEED received a $2 million preclinical milestone in February 2023, after year-end.
  • Key risks: Further clinical trials or additional regulatory data may be required; financing may be unavailable or dilutive; commercialization depends on approval, market access and partners. The company also cites reliance on third-party manufacturers and CROs, a sole supplier for a formulation stabilizer, clinical-trial and geopolitical disruption risks, China/U.S. regulatory and data-transfer uncertainty, and possible share-price volatility.
  • Other items: A $1.071 million gain from remeasurement of a SEED forward contract contributed to 2022 other income; the contract was settled in June 2022. Management reported effective disclosure controls and internal control over financial reporting at December 31, 2022; the auditor did not attest to internal controls because BeyondSpring was a non-accelerated filer.

Important facts for investors to verify

  • Current cash use, financing needs and the assumptions behind the cost-reduction plan and going-concern assessment.
  • Regulatory correspondence and the actual next steps, funding needs and timing for the FDA’s requested additional CIN trial and the China resubmission.
  • Full DUBLIN-3 results, including subgroup applicability, safety, and the regulatory evidence required in China and the United States.
  • Recognition schedule and remaining conditions for deferred collaboration revenue, Hengrui milestones and Lilly milestone or royalty payments.
  • SEED preferred-share redemption terms, future funding obligations and the effect of noncontrolling interests on BeyondSpring’s economic share of subsidiary value.
  • Potential dilution from future equity financing, outstanding equity awards and any financing or partnership transactions announced after the filing.
