Revenue and segment performance

  • Q2 IoT Products & Services revenue was $85.9 million, up 20.3%; IoT Solutions revenue was $25.3 million, up 8.2%. Both segments grew, with product-line growth driving Products & Services and increased SmartSense and Ventus sales contributing to Solutions.
  • Q2 gross margin rose in both segments: Products & Services to 54.9% from 53.9%, and Solutions to 62.4% from 57.9%. Management attributed improvement primarily to product and customer mix.
  • ARR was $99 million at quarter end, up from $90 million a year earlier: $17 million in Products & Services and more than $82 million in Solutions. ARR is a management-defined metric, not a substitute for revenue or deferred revenue.

Cash flow, balance sheet and debt

  • For the six months, operating cash flow was $9.6 million, down from $11.8 million. Capital expenditures and other property/equipment and intangible purchases were $2.9 million; cash declined $3.2 million to $31.7 million.
  • Working-capital changes used $22.7 million of cash. Inventory increased to $83.1 million from $73.2 million, including finished goods rising to $49.6 million from $33.4 million.
  • At March 31, total debt was $240.6 million before unamortized issuance costs; cash was $31.7 million. The $35 million revolving facility was undrawn. The term loan is floating-rate, with a reported weighted average rate of 8.62%; interest expense increased to $6.4 million for the quarter and $12.4 million for the half-year.
  • Current assets were $169.1 million and current liabilities $83.8 million. Total liabilities were $327.6 million and stockholders’ equity $520.2 million.
  • Management expects positive operating cash flow and believes cash, operating cash generation and borrowing capacity will fund operations and capital expenditures for the next 12 months and beyond.

Material changes, outlook and risks

  • Operating expenses rose 14.1% in Q2, primarily from incremental investment in SmartSense. Six-month expenses also reflect Ventus acquisition costs and SmartSense investment.
  • Higher interest rates increased interest expense; management said elevated rates would continue to affect expense and cash flows. A 25-basis-point rate change was estimated to affect annual interest expense by approximately $0.6 million, based on the filing’s stated balance-sheet position.
  • The filing provides no specific revenue, earnings or margin guidance. Management’s liquidity outlook is that resources are sufficient for operations and capital expenditures.
  • Disclosed risks include supply-chain and transportation challenges, inflation and recession concerns, competition, technology changes, acquisition integration, cybersecurity, litigation, debt repayment and customer concentration. Ventus has historically relied on fewer than 20 customers and has industry exposure; the filing also notes concentration risks in other acquired businesses and SmartSense end markets.
  • Contingencies include ordinary-course litigation, including potential intellectual-property claims; the filing does not identify a specific matter with a clear quantified loss. Ctek contingent consideration had no recorded fair value at March 31, 2023, but remains subject to performance through December 31, 2023.
  • The 2022 comparative cash-flow statement was restated for debt issuance cost classification errors. The company determined the restatement was not material; there was no effect on the balance sheet, income statement or comprehensive income.
  • Six-month 2023 income tax expense was $0.2 million and included a $1.7 million discrete net benefit, primarily from excess tax benefits on stock compensation. Results also include acquisition, amortization and stock-based compensation items; adjusted measures are non-GAAP.

Important facts for investors to verify

  • Whether ARR growth converts into reported subscription revenue and operating cash flow; ARR is not a forecast of either.
  • Inventory levels and cash conversion, given inventory growth and operating cash flow below net income.
  • Debt amortization, floating-rate exposure and the impact of sustained higher interest rates.
  • Customer concentration and industry exposure at Ventus, SmartSense and other acquired businesses.
  • Assumptions behind non-GAAP adjustments and the continuing status of contingencies, including Ctek earn-out performance and litigation.
