Debt principal totaled $367.8 million ($360.1 million carrying value), comprising $34.4 million due in 2024, $103.4 million due in 2025 and $230.0 million due in 2029. Net operating lease liabilities were approximately $250.4 million. Management expects operating cash flow and cash on hand to fund operations, debt service, planned store growth, investments and other needs through FY2024.

Changes versus FY2022

  • Revenue and gross profit grew on higher pawn balances, yields and merchandise sales, as well as store growth. PLO rose 17%; merchandise sales increased 15%.
  • Operating expenses increased 14% to $517.7 million, primarily from higher store labor, activity and store count.
  • Operating income increased, but net income declined as non-operating expenses rose substantially. Equity in losses of unconsolidated affiliates was $28.5 million, versus equity income of $1.8 million in FY2022.
  • Cash provided by operations increased to $101.8 million. Investing activities used $110.9 million, including pawn lending, acquisitions, capital expenditures and strategic investments.
  • The store base expanded by a net 56 locations to 1,231, including 44 Latin American openings and 12 U.S. acquisitions.

Outlook, commentary, risks and unusual items

  • Management’s stated priorities are strengthening core pawn operations, cost efficiency, and customer engagement and growth. It sees further Latin American expansion opportunities; no consolidated revenue or earnings guidance is provided.
  • Management reported that consolidated performance for FY2023 reached 111% of the specified Adjusted EBITDA goal used for executive incentives; this is not presented as forward guidance.
  • The Cash Converters investment drove a significant unusual non-cash loss: EZCORP recorded $32.4 million as its share of Cash Converters’ goodwill impairment, contributing to a $28.5 million equity-method loss. The partner’s impairment followed Australian lending-law changes.
  • A $4.3 million impairment was recorded on the Austin corporate-office right-of-use asset after termination of a significant sublease. A $5.1 million reduction in an acquisition-related contingent consideration liability was recorded as other income.
  • FY2023 debt refinancing included issuing $230.0 million of 3.75% convertible notes due 2029 and repurchasing portions of the 2024 and 2025 notes. The transactions included a $3.5 million net loss on debt extinguishment; the 2024 maturity remains a near-term funding consideration.
  • Key risks include pawn-rate and consumer-demand changes, gold prices and merchandise margins, regulation, competition, foreign exchange and Latin American political or economic conditions, cybersecurity, store crime and natural disasters. More than 62% of U.S. pawn stores are in Texas and Florida.
  • An $8.1 million escrow related to a potential indemnity claim for pre-closing Grupo Finmart taxes remains unresolved; discussions with AlphaCredit were continuing. The company also disclosed ongoing legal and regulatory matters but said no individual matter was expected to materially affect its financial condition, results or liquidity.
  • After year-end, EZCORP contributed an additional $15.0 million to Founders, bringing its equity investment to $45.0 million; its separate $15.0 million demand note’s interest rate increased to 15%.

Investor verification priorities

  • Confirm plans and available liquidity for the $34.4 million 2024 and $103.4 million 2025 note maturities, including any conversion or refinancing developments.
  • Separate recurring pawn and retail performance from the Cash Converters impairment, debt-refinancing effects and other unusual items.
  • Track PLO, yields, redemption rates, merchandise margins and store-level expense growth, particularly in Latin America and amid currency movements.
  • Review exposure and recoverability for Founders investments and notes, and the status of the $8.1 million tax-indemnity escrow.
  • Consider that publicly traded Class A shares are non-voting; the controlling shareholder owns all outstanding voting shares.

Audit: BDO issued an unqualified opinion on the financial statements and on internal control over financial reporting. The filing identifies accounting for the 2029 convertible notes as a critical audit matter.
