Business results and changes
- Automotive sales rose 10% to $360.6 million, supported by an 11% increase in auto-dimming mirror shipments. North American shipments grew 10% and international shipments 12%.
- Other sales, including fire-protection products and dimmable aircraft windows, declined 11% to $8.3 million, primarily because of lower aircraft-window shipments.
- Gross margin declined to 38.8% from 39.1%. Management cited annual customer price reductions, higher manufacturing costs, and currency movements; product mix and purchasing savings partially offset these pressures.
- Operating expenses increased 3.7% to $35.4 million, mainly reflecting higher research and development staffing. Operating income and net income increased despite lower total other income.
- Total other income fell to $0.7 million from $4.5 million, primarily because realized gains on equity investments were lower. Q1 2015 also included approximately $1.5 million of foreign-currency adjustments and $0.8 million of interest expense.
- The effective tax rate was 28.8%, versus 32.6% a year earlier. The IRS completed its audit of filings through 2012, leading to an approximately $3.9 million benefit from reversal of an uncertain-tax-position reserve.
Outlook, commentary, and risks
- For calendar 2015, management estimated revenue of $1.47–$1.54 billion and gross margin of 38.5%–39.5%. It forecast operating expenses of $148–$154 million, capital expenditures of $95–$105 million, depreciation and amortization of $85–$90 million, and a tax rate of 31.25%–32.25%.
- Guidance assumes specified regional light-vehicle production forecasts and depends on production levels, option rates, and product mix. Management cited risks including automotive demand and plant shutdowns, currency fluctuations, customer pricing pressure, customer and supplier financial distress, inventory management, and possible work stoppages.
- Management identified frameless interior mirrors, exterior auto-dimming mirrors, HomeLink, SmartBeam, and advanced electronic features as growth drivers. Full Display Mirror production was expected to begin in Q4 2015. Management said the rear-camera-display regulation did not then indicate an immediate material new opportunity.
- A 250,000-square-foot Zeeland manufacturing and distribution facility was under construction. Its estimated cost was $30–$35 million, with completion expected in 2016; once operational, it was expected to add capacity for 5–7 million mirrors annually. The company expected to fund it with cash on hand.
- The company had $125 million outstanding on its revolving facility, with $25 million of additional availability, and $138.8 million outstanding on its term loan. It reported compliance with credit-agreement covenants. A swap was intended to fix the rate on $150 million of debt at 1.89% from July 31, 2015 through September 2018; the swap liability was $3.3 million at quarter-end.
- Management reported no material pending legal proceedings expected to adversely affect financial position or future results, and no significant unrecorded off-balance-sheet arrangements. It reported no material change in previously disclosed risk factors. The company said its disclosure controls were effective and there were no material changes in internal control over financial reporting.
- The company was evaluating the new revenue-recognition standard, effective for public entities for periods beginning after December 15, 2016, and had not yet determined its adoption method or financial-statement effect.
Investor verification priorities
- Track automotive mirror shipments, product launches, and regional vehicle production against the assumptions underlying 2015 revenue and margin guidance.
- Assess whether price reductions, manufacturing costs, and currency movements continue to pressure gross margin, and whether productivity and purchasing savings offset them.
- Separate the one-time $3.9 million tax benefit from recurring earnings and compare the quarterly tax rate with full-year guidance.
- Monitor cash conversion, receivables and inventory growth, planned $95–$105 million capital spending, facility construction costs, debt repayment, and share repurchases.
- Review investment-portfolio valuation and impairment risk, foreign-exchange exposure, and the effectiveness and accounting impact of the interest-rate swap.
- Confirm the timing and commercial contribution of Full Display Mirror and other advanced products; the filing provides expectations, not quantified revenue forecasts for these programs.
