- Revenue rose 81% in Q3 and 55% year to date. Q3 product sales increased to $29.2 million from $6.3 million, primarily due to bulk rHuPH20 sales to Janssen. Nine-month collaborative-agreement revenue included $45.0 million from the argenx collaboration.
- Royalties fell to $16.6 million in Q3 from $18.7 million and to $52.7 million year to date from $59.6 million. Management cited lower Roche Herceptin SC sales, partly offset by higher RITUXAN HYCELA and HYQVIA sales.
- Q3 operating loss was about 53% of revenue, compared with about 100% a year earlier; nine-month operating loss was about 25% of revenue versus 76%. These ratios are calculated from reported figures.
- Q3 operating expenses were $70.8 million, including $30.5 million of research and development and $18.0 million of selling, general and administrative expense. Nine-month expenses were $177.9 million. Interest expense declined to $7.9 million for the nine months from $14.3 million.
- At September 30, cash and cash equivalents were $59.2 million and marketable securities were $178.8 million, totaling approximately $238.0 million. Current assets were $342.0 million and current liabilities $108.0 million. Total assets were $370.4 million and stockholders’ equity $245.4 million.
- Net debt carrying value was approximately $63.8 million: $54.5 million current and $9.3 million long term. The royalty-backed loan bore 10.25% interest; management estimated repayment in Q2 2020, subject to royalty receipts. The separate Oxford/SVB loan matures January 2021. The company reported covenant compliance.
Material changes, outlook and risks
- After quarter-end, on November 4, Halozyme reported that its HALO-301 Phase 3 PEGPH20 study did not meet its overall-survival primary endpoint: median survival was 11.2 months versus 11.5 months for control (HR 1.00; p=0.9692). The company halted PEGPH20 development, began closing oncology studies and shifted its focus to ENHANZE.
- The announced restructuring would reduce headcount by approximately 55%, or 160 positions. Management anticipated sustainable profitability beginning in Q2 2020 after restructuring and related one-time charges; this is a forward-looking expectation, not a reported result.
- Expected Q4 2019 charges included approximately $17 million for severance and employee-related costs and $8–10 million for lease and other contract cancellations. Most employee-related cash payments were expected in Q1 2020; additional costs remained possible.
- Halozyme announced a program to repurchase up to $350 million of common stock over three years. The filing also states that cash, cash equivalents and marketable securities were expected to fund operations for at least 12 months.
- Management expected near-term royalty revenue to decline before another partner-product launch, in part due to biosimilar competition in Europe. Bulk rHuPH20 sales may fluctuate with partner demand; Hylenex sales were expected to be flat.
- Key risks include execution and disruption from the restructuring, dependence on partner development and commercialization, regulatory and clinical uncertainty, rHuPH20 supply and safety risks, competition, and debt-service requirements. The company reported no legal proceedings expected to have a material adverse effect.
Important facts for investors to verify

- Actual partner product launches, sales, milestone timing and royalty trends, particularly given lower royalties and European biosimilar pressure.
- Cash use and funding for the announced $350 million repurchase program relative to liquidity, operating needs and debt obligations.
- Repayment timing of the royalty-backed loan and the company’s continued compliance with both loan agreements.
