Revenue mix and operating trends
- Infusion Consumables revenue rose 2.3% to $126.4 million, but declined 0.3% on a constant-currency basis.
- Infusion Systems revenue fell 4.6% to $84.3 million; IV Solutions declined 9.7% to $94.2 million. Management attributed declines mainly to prior-year COVID-19-related customer and distributor stocking and, for systems, lower non-large-volume pump and IV set sales.
- Critical Care revenue increased 5.6% to $13.2 million, primarily due to Cogent system sales.
- U.S. revenue was $227.4 million, down 1.2%; foreign revenue was $90.7 million, down 7.9%.
- Gross margin decreased mainly because of capitalized manufacturing variances following the Austin plant shutdown in late 2020 and weather-related costs at that facility in Q1 2021.
- Restructuring, strategic transaction and integration expenses declined to $2.9 million from $12.3 million. There were no restructuring charges in Q1 2021, versus $7.2 million in Q1 2020; current-period strategic and integration costs included acquisition integration, the Pfizer earn-out dispute and regulatory initiatives.
Cash, debt and liquidity
- Cash and cash equivalents were $424.2 million at March 31, 2021; short- and long-term investment securities totaled $30.5 million. Combined cash and investments were $454.8 million, up $31.0 million from year-end 2020.
- Operating cash flow was $51.3 million. Investing activities used $18.9 million, including $14.0 million of property and equipment purchases; financing activities used $3.0 million.
- No revolver borrowings were outstanding, and $150.0 million was available under the credit facility, which matures November 8, 2022. ICU Medical reported compliance with its financial covenants.
- Management believes cash and expected operating cash generation will fund operations for at least the next 12 months. Estimated 2021 capital expenditures are $75 million to $85 million, primarily for manufacturing investments and infusion pumps placed with customers.
- There were no share repurchases in Q1; the full $100 million authorization remained, subject to credit-facility restrictions.
Outlook, risks and contingencies
- Management said COVID-19 continues to affect operations and that the duration and financial impact remain uncertain and cannot yet be quantified. Prior-year pandemic-related stocking contributed to current-period comparisons.
- The most significant disclosed contingent exposure is Pfizer’s dispute over the Hospira Infusion Systems acquisition earn-out. Binding arbitration was expected to conclude in Q3 2021. An adverse outcome could require an additional payment of $191.3 million to $225.0 million. The separately recorded $26.3 million contingent earn-out liability relates to the Pursuit acquisition, not the Pfizer dispute.
- Other risks highlighted include foreign-exchange movements, raw-material availability and costs, production disruptions, competition and pricing pressure, customer or distributor concentration, regulation, and successful product development and integration.
- The Pfizer manufacturing and supply agreement under which ICU Medical supplies products to Pfizer was amended effective January 1, 2021; its term runs through December 31, 2024, with Pfizer having a unilateral option to extend through December 31, 2025.
