Material changes versus the prior comparable period

  • Rental income increased primarily from leasing activity and rent resets. Average effective rent increased to $7.58 per square foot from $7.46.
  • NOI increased 1.9%, with Hawaii NOI rising to $23.4 million and Mainland NOI rising to $62.6 million.
  • Real estate taxes declined 3.7%, primarily due to successful tax appeals, while other operating expenses increased 10.8% because of higher insurance, repairs and maintenance and snow removal costs.
  • Interest expense increased due partly to Mountain JV refinancing activity in May 2023 and costs related to a new interest rate cap.
  • In March 2024, Mountain JV extended its $1.4 billion floating-rate loan by one year and purchased a one-year interest rate cap for $26.2 million. The loan’s rate declined to 5.81% from 6.17% at December 31, 2023.
  • Operating cash flow improved substantially, while investing cash flow turned negative primarily because of the interest rate cap purchase.
  • ILPT executed new and renewal leases covering approximately 1.875 million square feet at a weighted average rental rate increase of 39.4%, with $3.5 million of related leasing cost and concession commitments.
  • ILPT completed rent resets for approximately 106,000 square feet of Hawaii land at rates approximately 27.5% above prior rates.

Guidance, outlook, risks and unusual items

The filing does not provide formal earnings or revenue guidance. Management expects cash from operations, cash on hand and other available financing sources to be sufficient for operating expenses, capital expenditures, debt service and distributions for the next 12 months and the foreseeable future.

Management cites continued demand for industrial properties from e-commerce and supply chain resiliency trends. However, high interest rates, inflation, geopolitical tensions, economic uncertainty and financial-market disruption have increased the cost of capital and constrained efforts to reduce leverage.

  • Approximately $1.25 billion of principal payments are scheduled during 2024, including the $1.235 billion ILPT Floating Rate Loan maturing in October 2024, subject to extension options.
  • Approximately $1.42 billion of principal payments are scheduled during 2025, including the $1.4 billion Mountain Floating Rate Loan, subject to remaining extension options.
  • Floating-rate debt totaled $2.64 billion at quarter-end. The filing states that a one percentage point increase in rates would not increase current annual interest expense while the existing caps are effective, because current rates exceed the cap strike rates; refinancing and replacement-cap costs remain risks.
  • FedEx-related tenants represented 28.9% of annualized rental revenue and Amazon-related tenants represented 6.7%. Hawaii Properties represented 28.0% of rental income.
  • Only 5.5% of annualized rental revenue was scheduled to expire by March 31, 2025, but tenant renewals, rent resets, tenant credit and property values remain material uncertainties.
  • ILPT paid a quarterly distribution of $0.01 per share and declared another $0.01 per share distribution for payment in May 2024.
  • ILPT has no employees and relies on RMR for business and property management services. Related-party arrangements and potential conflicts of interest are disclosed as ongoing risks.
  • The quarter included an unrealized derivative loss of $4.8 million in other comprehensive income and no loss on real estate sales, compared with a $1.0 million loss in Q1 2023.

Most important facts for investors to verify

  • Whether ILPT can refinance or extend the $1.235 billion 2024 maturity and the $1.4 billion Mountain JV debt due in 2025 on acceptable terms.
  • Available unrestricted liquidity after considering restricted cash, debt-service requirements, interest-rate-cap purchases and scheduled debt maturities.
  • Whether high occupancy and recent rent increases persist, particularly for FedEx-related tenants and Hawaii land rent resets.
  • Trends in interest expense, floating-rate debt exposure and the cost and availability of replacement interest-rate caps.
  • Whether operating cash flow and FFO adequately support the current distribution and required capital and leasing expenditures.
  • Tenant concentration, lease expirations and renewal outcomes, including the 14.7% of leased square feet expiring in 2027.
  • Terms and implications of the RMR management agreements, related-party transactions and any future incentive fees.
