Material changes and segment results

  • Q2 sales fell 32% year over year; first-half sales declined 18%. Q2 gross margin decreased 6.6 percentage points.
  • Fuel Specialties: Q2 sales decreased 19% to $107.4m and operating income fell to $4.7m from $24.1m. Reduced transport and aviation activity, weaker demand for higher-margin products, raw-material costs and slow-moving inventory provisions pressured results.
  • Performance Chemicals: Q2 sales decreased 9% to $95.7m, while operating income increased to $12.2m from $11.0m. Health, hygiene and cleaning demand and improved product mix helped offset weakness elsewhere.
  • Oilfield Services: Q2 sales fell 66% to $41.8m and the segment recorded a $12.4m operating loss, versus $10.1m operating income. Management cited sharply reduced exploration and production activity, depressed oil prices and inventory provisions.
  • Octane Additives: Q2 sales were nil. Production and sales of tetra ethyl lead for motor gasoline have ended; the segment is expected to make no further sales and cease reporting as a segment from January 1, 2021.

Outlook, risks and unusual items

  • Management said it expects demand in Fuel Specialties and Oilfield Services to start improving in Q3 if restrictions ease and economic activity recovers. It emphasized that the duration and recovery path of the pandemic and downturn remain uncertain; no quantified earnings or revenue guidance was provided.
  • The $21.1m TEL-related restructuring provision includes environmental monitoring, facility remediation, a loss-making contract, tangible-asset impairment and redundancy costs. Separately, the $19.8m impairment related to acquired Oilfield Services technology and customer-relationship assets, following weaker drilling-related demand.
  • Management reported manufacturing continued with only minor interruption, raw-material sourcing was not significantly affected, and logistics had some delays. It described the financial position as strong, citing access to a $250m revolving credit facility and no anticipated covenant issues.
  • COVID-19 remains a material risk to demand, customers, employees, supply chains, operations and cash flows. The company said the ultimate effect and timing of recovery cannot be predicted. Other risks include foreign-exchange and interest-rate exposure, environmental and pension estimates, and tax matters.
  • Unrecognized tax benefits, interest and penalties totaled $15.2m; the filing notes that the full amount would affect the effective tax rate if recognized. A potential $3.1m Italian tax-audit exposure is covered by an indemnification asset from a former owner. The company reported no material pending legal proceedings, while noting that multiple adverse claims could have an aggregate effect.
  • Disclosure controls were assessed as effective at June 30, 2020; the company reported no material change in internal control over financial reporting.
