KLX Energy Services Holdings, Inc. — 2023 Form 10-K
Reporting period: Fiscal year ended December 31, 2023; comparisons are with fiscal 2022. The filing does not provide a clear standalone fourth-quarter financial summary. Amounts are U.S. dollars in millions unless stated otherwise.
Business context
KLX provides onshore oilfield services and equipment for drilling, completion, production and well intervention across U.S. basins. It reports three geographic segments: Rocky Mountains, Southwest and Northeast/Mid-Con. Greene’s Energy Group, a wellhead protection, flowback and well-testing provider, was acquired on March 8, 2023 in an all-stock transaction; integration was completed in the third quarter.
Financial performance
| Metric | FY 2023 | FY 2022 |
|---|---|---|
| Revenue | $888.4 | $781.6 |
| Cost of sales | $672.5 (75.7% of revenue) | $621.3 (79.5%) |
| Operating income | $56.9 (6.4% margin) | $32.5 (4.2% margin) |
| Net income (loss) | $19.2 | $(3.1) |
| Diluted earnings (loss) per share | $1.22 | $(0.27) |
| Operating cash flow | $115.6 | $15.7 |
| Capital expenditures | $57.1 | $35.6 |
Revenue rose 13.7%. Completion revenue increased 19.1%, production 25.1%, intervention 8.6% and drilling 0.7%. Segment revenue grew 18.5% in Rocky Mountains, 19.5% in Southwest and 5.0% in Northeast/Mid-Con. Management attributed improved profitability to pricing and utilization gains exceeding cost increases; lower cost of sales as a percentage of revenue reflected better fixed-cost leverage. SG&A rose to $86.7 from $70.4, including higher labor and professional fees, insurance costs, and Greene’s acquisition and integration costs.
Cash and cash equivalents were $112.5 at year-end, versus $57.4 a year earlier; ABL availability was $41.9. Net working capital, as defined by the company, declined to $47.2 from $72.1. Operating cash flow included a $44.0 cash benefit from accounts receivable changes, so the year-over-year increase should be considered alongside working-capital movements. Investing activities used $39.7; financing activities used $20.8.
Debt, liquidity and capital structure
- Year-end debt carrying value was $284.3; principal outstanding was $287.3: $237.3 of 11.5% senior secured notes and $50.0 under the ABL Facility.
- Senior Notes bear 11.5% interest and are due in 2025. The ABL Facility bears variable-rate interest (effective rate approximately 7.96% at year-end) and matures in 2025: August 1 if the Senior Notes remain outstanding on that date, otherwise September 15.
- Debt principal maturities are concentrated in 2025. The company says it intends to refinance the ABL Facility and Senior Notes; it warns that inability to refinance could lead to a going-concern qualification in a future audit, an ABL default and potential acceleration of debt.
- The company reported compliance with the ABL Facility at year-end. The springing fixed-charge coverage covenant was not triggered; reported coverage was above 1.0 to 1.0.
- Finance lease liabilities increased to $58.2 from $30.5. The company does not currently intend to pay dividends.
Material changes, outlook and notable items
- 2023 revenue and operating income improved despite lower commodity prices and a 20.2% year-over-year decline in U.S. rig count at December 31. Management cited an average WTI price decline of 18.3% for 2023 versus 2022 and activity stabilization in the second half.
- Greene’s was acquired for approximately 2.4 million KLX shares; former Greene’s owners received approximately 14.7% of fully diluted common stock. The acquisition resulted in a $1.9 bargain purchase gain, subject to final purchase accounting at filing date.
- Management expects 2024 customers to allocate capital cautiously, assuming economic activity remains near recent levels and commodity prices remain volatile. It expects 2024 capital expenditures of $50–$60, approximately 75% for maintenance. This is an expenditure outlook, not earnings or revenue guidance.
- Management stated that cash on hand, ABL availability and forecast cash flows should fund operations and planned capital expenditures for at least the next twelve months. This depends on operating conditions and does not resolve the 2025 refinancing requirement.
- Risk factors include commodity-price and customer-spending cyclicality, pricing and utilization pressure, inflation and labor costs, customer credit and collection risk, operational hazards and insurance limits, acquisition integration, and environmental, climate, permitting and cybersecurity risks. The company reported no known cybersecurity threats that had materially affected or were reasonably likely to materially affect it.
- The $4.6 Magellan-related receivable claim remains in ongoing bankruptcy proceedings; the amount was fully reserved in an earlier period. Management says other ordinary-course litigation is not expected to have a material adverse effect. Deloitte issued unqualified opinions on the financial statements and internal controls.
