  • Operating expenses were $159.0 million, down 6%; 33.0% of sales versus 35.3% in the prior-year quarter. Marketing and selling and R&D expenses declined, while general and administrative expense rose 26%, including higher legal and consulting costs.
  • Cash and cash equivalents were $485.0 million at June 30, compared with $469.4 million at March 31. Working capital was $509.2 million. Current assets were $1.008 billion and current liabilities $498.6 million.
  • Investing activities used $12.2 million, including $11.2 million of capital spending; financing activities provided $0.2 million. Cash increased $15.6 million during the quarter.
  • The balance sheet reports no debt line item. Logitech had terminated its $250 million revolving credit facility in December 2013; it disclosed uncommitted bank letters of credit totaling $40 million and corporate-card credit lines of $6.9 million.

Material changes versus the prior comparable period

  • Sales grew 1%, with retail sales up 2%, offset in part by OEM sales down 5% and video-conferencing sales down 15%. Retail unit sales increased 4%; average selling price declined 2%.
  • Peripherals sales rose to $456.4 million from $448.4 million, and segment operating income increased to $33.6 million from $13.3 million. Video-conferencing sales fell to $25.8 million from $30.2 million; its operating loss narrowed to $1.1 million from $3.4 million.
  • Growth was strongest in mobile speakers (+108%) and PC gaming (+17%). Tablet and other accessories fell 18%; Audio-PC and wearables fell 11%; non-strategic products fell 83%.
  • Gross margin improved 2.3 percentage points, attributed mainly to cost reductions in profit-maximization products and scale in some growth products. Management cited prior restructuring savings and infrastructure rationalization for lower operating expenses.
  • The 2013 comparative financial statements were revised for prior-period corrections, including revenue timing, capitalized property and equipment, other misstatements and related tax effects. Revised Q1 FY2014 net income was $1.226 million, $0.183 million above the amount previously reported.

Outlook, risks and unusual items

  • No specific quarterly or annual revenue or earnings guidance is provided. Management said cash balances, expected operating cash flows and reduced expenses should fund operations for at least the next 12 months; results for this quarter are not necessarily indicative of the full year.
  • Management described continued weakness in PC markets and said future growth depends on innovation and execution in mobile accessories, gaming, digital music and enterprise products. Lifesize was transitioning toward Lifesize Cloud, a SaaS offering; management linked the sales decline to that transition and weak endpoint demand.
  • Disclosure controls were deemed ineffective at June 30 because material weaknesses in internal control over financial reporting remained unremediated. Identified issues included finance oversight and expertise, warranty accruals, valuation of Revue inventory, and review of cash-flow, comprehensive-income and financial-statement disclosures. Remediation was ongoing.
  • Logitech was subject to an ongoing formal SEC investigation concerning Revue inventory reserves, prior warranty and intangible-asset reporting matters, and historical distributor transactions. The company said it was cooperating; potential fines or penalties were not estimable. It also disclosed tax examinations and $91.8 million of unrecognized tax benefits; unfavorable resolution of tax matters could materially affect results.
  • Other risks include intense competition, declining PC demand, product and inventory forecasting, foreign-exchange exposure, supply-chain concentration, and possible goodwill impairment in video conferencing. No interim goodwill impairment assessment was required in the quarter.
  • A $250 million share-buyback authorization was in place, but the company said it could not repurchase shares while not current with SEC filings; no repurchases occurred in the quarter. Subsequent to quarter-end, the board approved a CHF 0.2625-per-share dividend, subject to shareholder approval and Swiss statutory requirements.

Important facts for investors to verify

  • Whether internal-control material weaknesses have been remediated and whether later filings or audits identify further corrections or restatements.
  • Developments and potential financial consequences of the SEC investigation and tax examinations, including changes in uncertain tax positions.
  • Whether improved gross margin and operating income are sustainable, particularly amid PC-market weakness, lower average selling prices and higher G&A costs.
  • Progress and commercial performance of Lifesize Cloud and Logitech’s mobile, gaming and audio growth categories.
  • Working-capital and inventory trends, cash-flow conversion, and the conditions for resuming share repurchases and paying the proposed dividend.
