The company reported access to up to $559.1 of additional FHLB advances, subject to available collateral and FHLB stock.

Material changes and segment results

  • Loan growth was led by mortgage warehouse lines, up $74.8 (22%) from year-end, and multifamily and healthcare loans, up $51.0 (6%). Total assets increased 2% from year-end.
  • Multifamily Mortgage Banking reported a $0.7 net loss versus $5.5 net income in Q1 2018. Loan originations and acquisitions for sale fell 90% to $24.4; management cited lower loan-sale volume and processing delays associated with the January federal government shutdown. Mortgage servicing rights also recorded a $1.5 fair-value decrease.
  • Mortgage Warehousing earned $3.8, down 17% year over year, despite funding $5.4 billion of loans, up 6%. Banking earned $8.8, up 47%, primarily on higher net interest income.
  • The company issued 2.0 million 7% Series A preferred shares on March 28, receiving $48.3 net proceeds. An additional 81,800 shares were issued to underwriters on April 12, after quarter-end, for $2.0 million net proceeds.

Outlook, risks and other notable items

  • The filing provides no specific earnings or revenue guidance. Management expected sufficient funds to meet current loan-origination commitments and anticipated that a substantial portion of certificates of deposit maturing within one year ($635.6) would renew; failure to retain deposits could lead to increased FHLB borrowing or higher deposit rates and expense.
  • Interest-rate sensitivity analysis indicated an asset-sensitive position for net interest income. A modeled 100-basis-point rate decrease reduced projected 12-month net interest income by 13.6%; a 100-basis-point increase raised it by 12.1%. Management stated the scenarios were within board policy limits. The economic value of equity model projected declines when rates rise.
  • Key stated risks include credit quality and allowance adequacy; real estate values and construction-project performance; interest-rate and liquidity changes; deposit retention; regulatory compliance; cybersecurity, fraud and systems risks; competition; and execution of growth plans. Management said there were no material changes to previously disclosed risk factors.
  • Management expects the future adoption of the expected-credit-loss standard (CECL) may increase the allowance; the effect could not yet be quantified. Management did not expect material effects from several other accounting standards discussed in the filing.
  • Management identified construction projects with cost overruns under active monitoring; borrower payments remained current. Available-for-sale securities had unrealized losses attributed primarily to higher market rates; management stated it intended and was able to hold them for the foreseeable future.
  • No legal proceedings were reported. Management concluded disclosure controls were effective and reported no material change in internal control over financial reporting.

Investor verification points

  • Track whether multifamily loan-sale volumes recover after the quarter’s shutdown-related processing delays, and how that affects gains, servicing income and segment profitability.
  • Assess the persistence of higher deposit costs, the continued decline in brokered deposits, and the increased reliance on FHLB advances and other borrowings.
  • Monitor classified, past-due and watch-list loans, especially construction and commercial exposures, alongside allowance coverage and subsequent charge-offs.
  • Review the preferred-stock terms, distributions and post-quarter additional issuance when evaluating common-shareholder earnings and capital.
  • Confirm liquidity and capital remain adequate as $635.6 of certificates mature within one year and as loan commitments are funded.
