Nkarta, Inc. — FY2023 Form 10-K
Reporting period: Fiscal year ended December 31, 2023; filed March 21, 2024. Nkarta is a clinical-stage biopharmaceutical company developing allogeneic, off-the-shelf engineered natural killer (NK) cell therapies. It has no approved products and has never generated product-sales revenue.

Nkarta reported no product revenue, so operating margins are not meaningful. Interest income was $14.1 million, up from $5.6 million, largely reflecting higher market interest rates. The balance sheet showed $88.3 million of operating lease liabilities; the filing does not report financial borrowings. Undiscounted future operating lease payments totaled $140.5 million. Current assets were $253.1 million and current liabilities were $23.3 million.
Business, pipeline and material changes
- NKX019: The lead CD19-targeted CAR NK candidate remained in a Phase 1 trial for B-cell malignancies. Earlier dose-expansion results did not meet management’s expectations; Nkarta stopped enrollment in those cohorts and opened a new cohort testing compressed dosing in patients with large B-cell lymphoma after prior CD19 CAR T therapy. The FDA cleared an IND for a Phase 1 trial in refractory lupus nephritis (LN); the first patient was expected in the first half of 2024.
- NKX101: Nkarta closed enrollment and deprioritized the candidate after updated AML response data showed a lower aggregate response rate in a 20-patient cohort than in the initial patients. The company said it planned no further clinical-development spending on NKX101 while evaluating the program.
- Other programs: Nkarta continued preclinical collaboration programs with CRISPR Therapeutics, including NKX070 and an NK-plus-T-cell candidate. Early discovery and preclinical programs were deprioritized as resources shifted toward NKX019.
Cash flow, outlook and key risks
- Operating cash use rose to $86.2 million from $57.0 million. Investing activities provided $79.0 million, mainly from investment maturities and sales, partly offset by $28.1 million of property and equipment purchases. Financing activities provided $0.7 million; Nkarta raised no equity through its ATM program in 2023.
- Management said year-end liquidity was expected to fund operations for at least 12 months after the filing date. The October 2023 cost-containment announcement described measures intended to extend projected cash runway into 2026; this remains an estimate, not a guarantee.
- Cost actions included eliminating 18 positions (about 10% of staff), capping future headcount growth, reallocating personnel and planning to centralize operations. The reduction in force resulted in $1.2 million of costs. A $4.1 million impairment of right-of-use assets related to space marketed for sublease was also recorded.
- Nkarta expects continued losses and substantial development and manufacturing expenditures and may need additional capital. Financing may dilute shareholders, constrain operations or require the company to license or relinquish product rights. There is no formal financial guidance in the filing.
- Key risks include uncertain clinical efficacy and safety, trial enrollment and regulatory delays, manufacturing scale-up and comparability, dependence on a sole supplier for certain manufacturing steps, competition, intellectual-property and licensing risks, and reliance on external collaborators. NKX019’s use in autoimmune disease is a novel approach supported by limited clinical evidence.
Most important facts for investors to verify
- Subsequent NKX019 LN trial initiation, enrollment, safety and clinical-activity updates, and results from the compressed-dose oncology cohort.
- Whether management’s cash-runway estimates remain achievable given operating cash use, trial costs and manufacturing plans, and whether additional financing is needed.
- Final interpretation of NKX101 data and whether any development will resume; also monitor the status and funding of CRISPR collaboration programs.
- Readiness, regulatory qualification, capacity and cost of the new manufacturing facility, including dependence on external suppliers and process-change comparability.
- Potential shareholder dilution: 49.4 million common shares were outstanding as of March 18, 2024; the filing also notes substantial ownership concentration among directors, officers and principal holders.
