Product gross margin was approximately 90.9%, calculated as net product revenue less cost of product revenue, divided by net product revenue. DEXTENZA gross-to-net provisions rose to 30.1% of gross sales from 24.9%.

At year-end, cash and cash equivalents were $195.8 million; current assets were $232.2 million and current liabilities were $34.9 million. Total assets were $252.1 million and stockholders’ equity was $91.1 million. The company reported $82.5 million principal outstanding under the secured Barings term loan and $37.5 million principal under convertible notes, plus $10.9 million of accrued convertible-note interest. The Barings loan is secured by company assets, including intellectual property, and carries a DEXTENZA-linked quarterly royalty fee of 3.5% of net sales until the fee is paid.

FY2023 financing cash flow was $169.8 million, including approximately $107.7 million net proceeds from a December equity offering and $77.3 million net proceeds from Barings borrowings, partly offset by repayment of the prior MidCap facility. The February 2024 private placement raised approximately $325.0 million gross; this is a subsequent event, not FY2023 revenue or year-end cash.

Material changes and business developments

  • Total revenue grew 13.5%, with net product revenue up 14.7%; collaboration revenue declined.
  • Operating loss widened by $3.7 million as operating expenses rose $10.7 million, including higher R&D spending associated with AXPAXLI trial activity.
  • Net loss increased by $9.7 million. Results included $14.2 million of net gains on debt extinguishment, while the derivative-liability fair-value change shifted from a $13.8 million gain in 2022 to a $5.2 million loss in 2023. These items materially affect year-to-year comparability.
  • Operating cash use increased $10.6 million. Year-end cash and cash equivalents increased from $102.3 million to $195.8 million, supported principally by equity and debt financing.
  • In August 2023, the company refinanced its prior debt with the $82.5 million Barings facility and extended the convertible notes’ maturity to 91 days after the Barings facility maturity.

Outlook, management commentary, and risks

  • Management expects to complete SOL-1 enrollment for AXPAXLI in wet AMD by the end of Q1 2025 and, subject to FDA agreement, begin screening the second pivotal trial, SOL-2, by Q1 2025. SOL-1 has FDA Special Protocol Assessment agreement, but this does not assure approval. The trial uses a 450 μg formulation not evaluated in the earlier Phase 1 trials.
  • Topline HELIOS Phase 1 data for AXPAXLI in NPDR and Phase 2 PAXTRAVA data for glaucoma/OHT were expected in Q2 2024. OTX-DED comparator-study topline data was expected in Q4 2024. These are stated expectations, not guaranteed outcomes.
  • Management says year-end cash plus the February 2024 placement proceeds is expected to fund planned operations, debt service, and capital expenditures at least into 2028, subject to operating assumptions and a $20 million minimum-liquidity covenant. The notes to the financial statements separately state funding is expected through at least the next 12 months; this wording should be reconciled with the longer MD&A runway estimate.
  • The company expects continuing losses and higher clinical-trial and commercialization spending; it does not provide a clear numerical revenue or profitability forecast. DEXTENZA remains reliant on reimbursement, including separate Medicare payment in ASCs, which CMS reviews periodically.
  • Key risks include clinical and regulatory failure or delay, DEXTENZA market adoption and reimbursement, substantial losses and debt obligations, potential equity dilution, and dependence on a single manufacturing site and certain single-source suppliers. Three specialty distributors accounted for 85% of FY2023 revenue, creating customer concentration. OTX-CSI missed its Phase 2 primary endpoint; IOP elevations led to termination of the PAXTRAVA 5 μg arm.
  • The company reported no material pending legal proceedings. Management concluded disclosure controls and internal control over financial reporting were effective; the auditor issued an unqualified opinion on the financial statements and identified valuation of the convertible-notes derivative liability as a critical audit matter.

Important facts for investors to verify

  • Progress, enrollment, safety, and prespecified efficacy results for SOL-1 and subsequent AXPAXLI trials; confirm the significance of the new formulation relative to earlier studies.
  • Actual DEXTENZA sales growth, gross-to-net deductions, distributor inventory, and continued separate ASC reimbursement.
  • Cash runway against operating cash use, the $20 million liquidity covenant, the Barings royalty-fee obligation, and the convertible notes’ principal, accrued interest, and conversion terms.
  • Net proceeds and dilution from the February 2024 private placement, including shares issuable under pre-funded warrants.
  • Whether manufacturing capacity, supplier availability, and customer concentration change as clinical programs and commercial sales expand.
