| Research and development expense | $13.2 | $15.1 |
| General and administrative expense | $5.0 | $6.4 |
| Total operating expenses | $18.2 | $21.5 |

| Working capital | $190.4 | $193.4 at Dec. 31, 2023 |
Q1 operating expenses fell $3.3 million year over year. R&D decreased mainly because of lower contract research costs; G&A fell primarily due to lower facility, insurance, legal and personnel costs. Higher interest income partly offset operating costs. No operating margin is meaningful because the company has no revenue. Accumulated deficit was $325.3 million at quarter-end.
Cash and marketable securities declined by $15.5 million from year-end. Investing activities provided $26.2 million, largely reflecting security maturities net of purchases; financing activities provided no cash. The company reported no conventional borrowings. Operating lease liabilities totaled $13.0 million, including $0.9 million current; the Princeton facility lease runs through 2032.
Business developments and outlook
- PMV dosed the first patient in the pivotal Phase 2 monotherapy portion of its PYNNACLE trial of PC14586 (rezatapopt) in Q1. The registrational study targets advanced solid tumors with a TP53 Y220C mutation and KRAS wild-type status. PC14586 has FDA Fast Track Designation. A separate Phase 1b combination arm with pembrolizumab is being conducted with Merck.
- On January 18, 2024, PMV announced a workforce reduction of approximately 30% to preserve capital and focus on advancing PC14586. It recorded a $0.7 million restructuring charge in Q1; substantially all costs were incurred in the quarter, with remaining costs expected to be immaterial and completion expected by September 30, 2024.
- Management said quarter-end cash, cash equivalents and marketable securities are expected to fund operations to the end of 2026, subject to assumptions that may prove incorrect. The financial-statement note separately says resources are adequate for at least 12 months from issuance. PMV expects continued substantial losses and states that R&D spending may rise as development advances.
- Subsequent to quarter-end, PMV received $16.176 million from the sale of New Jersey net operating losses and R&D tax credits; it expected to recognize the amount in Q2 2024.
- PMV had approximately $113.8 million of gross capacity remaining under its ATM program at March 31 and made no ATM sales in Q1. Future equity financing could dilute shareholders; debt or partnering could impose obligations or require relinquishing rights.
Risks, contingencies and other items
- Clinical, regulatory, manufacturing and commercialization outcomes remain uncertain; the company may never obtain approval or generate product revenue. Management cannot reliably estimate development completion costs or timing.
- PMV uses third parties for clinical development and manufacturing, including certain product-development and raw-material activities in China. Disruptions, trade restrictions, tariffs, political developments or manufacturing failures could delay trials or raise costs.
- Management reported disclosure controls were effective at the reasonable assurance level and no material change in internal control over financial reporting during the quarter. The filing reports no legal proceeding expected by management to have a material adverse effect.
Key facts for investors to verify
- Progress, enrollment, safety and efficacy data, and regulatory plans for the pivotal PC14586 monotherapy study and the pembrolizumab combination arm.
- Actual cash burn and whether the stated runway through 2026 remains supportable as trial activity and development costs evolve.
- Receipt and Q2 accounting for the $16.176 million New Jersey tax-credit proceeds, and the effects of the restructuring on costs and execution.
- Reliability and continuity of China-based suppliers, as well as remaining ATM capacity and potential dilution from future financing.
