uniQure N.V. — FY2017 Form 10-K
Reporting period: Fiscal year ended December 31, 2017. The filing also reports unaudited fourth-quarter results. uniQure is a clinical-stage gene-therapy company; it had no approved product generating material ongoing sales. Financial statements are in U.S. dollars and prepared under U.S. GAAP.
Business context and pipeline
The company’s lead program, AMT-061 for hemophilia B, uses an AAV5 vector carrying the FIX-Padua gene variant. Management planned a pivotal study in 2018, following alignment with the FDA and EMA on the development plan. AMT-130 for Huntington’s disease remained preclinical, with an IND filing targeted for the second half of 2018. AMT-126 for congestive heart failure was in preclinical development through the Bristol Myers Squibb (BMS) collaboration.

| Total debt at year-end | $20.8 million carrying value | $20.2 million carrying value |
Revenue fell 47.8% year over year, principally as BMS collaboration revenue declined to $4.3 million from $13.0 million and Chiesi collaboration revenue declined to $4.6 million from $7.2 million before the hemophilia B agreement ended in July. Operating expenses were modestly lower, but the net loss widened, reflecting less favorable non-operating items. Reported operating margins were negative; the company remained loss-making.
FY2017 operating cash use was $64.3 million, compared with $72.2 million used in 2016. Investing activities used $5.6 million; financing activities generated $90.1 million, including $85.3 million net proceeds from an October follow-on offering. Management estimated year-end cash would fund operations into early 2020. The $20.0 million Hercules loan principal is scheduled for repayment from December 2018 through May 2020; interest is at least 8.25%, and substantially all assets secure the facility.
Unaudited Q4 2017 revenue was $2.6 million and net loss was $27.5 million, or $0.88 per share. Q4 was the largest quarterly loss of 2017.
Material changes and unusual items
- In October, uniQure raised approximately $91.3 million gross ($85.3 million net) through a follow-on offering of 5.0 million shares. The separate ATM program authorized sales of up to 5.0 million shares; no shares had been sold under it by year-end.
- After Chiesi terminated its hemophilia B collaboration, uniQure reacquired rights in Europe and selected territories and assumed future development costs previously shared with Chiesi.
- Termination of the Chiesi collaboration led to $13.8 million of deferred revenue being recognized as other income in 2017. Other income was $15.4 million overall; it should not be treated as recurring product revenue.
- The company discontinued Glybera commercialization and did not renew its European marketing authorization. It recorded contract termination and exit-related expenses, including a $0.9 million cost for the post-approval study.
- Restructuring continued, with employee headcount falling to 202 at year-end from 251 at the end of 2016; management expected the effort to conclude in early 2018.
- Net loss increased despite a slightly improved operating loss, in part because foreign currency and derivative-related results were less favorable than in 2016. The filing reports a $3.6 million net foreign currency loss and $2.4 million of other non-operating expense for 2017.
Outlook, risks and contingencies
Management expected losses to continue and increase as AMT-061 advanced toward pivotal development, AMT-130 progressed toward clinical testing, and the company expanded U.S. clinical and regulatory capabilities. There was no assurance that planned timelines or clinical outcomes would be achieved. The cash runway estimate depends on spending, clinical progress, collaboration receipts and access to additional capital.
Key risks include clinical or regulatory failure or delay; AMT-061 dose confirmation and manufacturing comparability between facilities; gene-therapy safety and durability; limited recruitment in rare-disease trials; manufacturing compliance and scale-up; intellectual-property and third-party license dependence; reimbursement and pricing uncertainty; and reliance on BMS decisions and contingent milestone payments. The company reported three serious adverse events in the AMT-060 Phase I/II study, including transient fever and mild, asymptomatic liver-enzyme elevations; it also reported temporary ALT elevations in three patients. No confirmed capsid-specific T-cell response or FIX inhibitors were reported in that study.
Potential InoCard milestone consideration was reported at a $4.0 million fair value, while contractual obligations disclosed a $16.2 million nominal amount with uncertain timing. About $20.8 million of operating lease obligations were due in less than five years, within total disclosed lease obligations of approximately $40.9 million. The filing states there were no legal proceedings and no off-balance-sheet arrangements.
Most important facts for investors to verify
- Whether AMT-061’s dose-confirmation work, pivotal study start and clinical results support the stated development plan.
- Whether AMT-061 manufactured in Lexington is accepted by regulators as comparable to prior material, and whether commercial-scale production remains reliable.
- Whether cash burn and financing needs remain consistent with management’s early-2020 runway estimate, including upcoming Hercules principal repayments and possible ATM dilution.
- How much future BMS collaboration revenue, milestones and royalties are realistically attainable, given their dependence on target selection and development progress.
- Whether AMT-130 completes toxicology and secures an IND on the stated timeline, and whether longer-term safety and efficacy are demonstrated across the pipeline.
