Taboola.com Ltd. 2023 Form 10-K Summary
Business Context and Reporting Period
Taboola is an Israel-incorporated B2B advertising technology company that uses AI-powered recommendations to connect advertisers with audiences across websites, devices and mobile applications on the Open Web. Revenue is generated primarily on a cost-per-click, cost-per-thousand-impressions or cost-per-action basis, with revenue shared with digital-property partners.
This Form 10-K covers the fiscal year ended December 31, 2023. The filing does not provide a complete standalone income statement for the fourth quarter, although it reports fourth-quarter operating metrics of approximately 17,000 advertisers, nearly 600 million daily active users and approximately 12,000 digital-property partners.

Traffic acquisition cost increased 8.7% to $903.9 million, exceeding revenue growth. Guarantee costs were approximately 19% of traffic acquisition costs in 2023, compared with approximately 10% in 2022. Ex-TAC gross profit declined 5.9% to $535.8 million. Share-based compensation was $64.3 million on a cash-flow basis, while amortization of acquired intangibles was $63.9 million.
At December 31, 2023, cash and cash equivalents were $176.1 million and short-term investments were $5.7 million. Including restricted deposits, reported liquidity-related balances were approximately $187.5 million. The company stated that available liquidity and operating proceeds should be sufficient for working capital and capital expenditures for at least the next 12 months.
Outstanding long-term loan principal was $152.7 million, including $3.0 million of current maturities. The company prepaid $79.3 million of term debt during 2023 and had no borrowings under its $90 million revolving credit facility. The term loan bears variable interest and is secured by substantially all assets of the borrower and guarantors.
Material Changes Versus the Prior Comparable Period
- Revenue increased modestly, but gross profit and profitability declined because traffic acquisition costs rose faster than revenue and prior-period yield compression continued to affect existing partners.
- New digital-property partners contributed approximately $221.6 million of revenue on a 12-month run-rate basis, while existing partners declined approximately $183.0 million. Taboola reduced lower-performing long-tail partners, while overall page views increased more than 10% from the fourth quarter of 2021 to the fourth quarter of 2023.
- Taboola launched and expanded the Yahoo relationship, including onboarding Yahoo’s global native advertising supply. The company issued Yahoo 39.5 million voting ordinary shares and 45.2 million non-voting ordinary shares with an aggregate reported fair value of $288.1 million.
- The Yahoo transaction created a $289.5 million commercial-agreement asset. Because the parties remained in a transition period, Taboola recorded no amortization of that asset in 2023.
- Taboola News revenue exceeded $100 million in 2023, and the company expanded e-commerce, Taboola News, Header Bidder and AI-bidding offerings. Approximately 30% of self-service advertiser creatives were reportedly generated using Taboola’s generative-AI tools.
- Taboola repurchased 15.2 million ordinary shares for approximately $55.5 million at an average price of $3.62 per share. Approximately $24.9 million remained authorized at year-end and was mostly utilized after year-end. In February 2024, the board authorized up to an additional $100 million, subject to required Israeli court approvals.
Guidance, Outlook, Risks and Unusual Items
Management did not provide specific numerical 2024 revenue or earnings guidance in the filing. Management stated that macroeconomic and inflationary pressures appeared to stabilize during 2023 and that it did not currently project additional related impact in 2024, while continuing to monitor conditions. The company expects normal advertising seasonality, with stronger revenue and margins in the fourth quarter and weaker performance in the first quarter.
- Yahoo execution: The commercial relationship requires complex technology integration and a successful transition of Yahoo’s native advertising service. Delays, advertiser attrition or higher-than-expected implementation costs could reduce expected accretion.
- Margin and guarantee exposure: Minimum-guarantee contracts can create gross losses when monetization falls below committed payments. Higher guarantee costs were a significant 2023 margin pressure.
- Privacy and cookies: Regulatory changes and browser restrictions, including Google’s planned phase-out of third-party cookies, could reduce targeting, measurement and monetization effectiveness. Taboola also faces GDPR, CCPA and other global privacy requirements.
- AI and technology: Errors in recommendation algorithms or generative-AI tools could reduce advertiser returns, create legal or reputational exposure, or disrupt revenue generation.
- Customer and partner concentration: Microsoft and affiliates represented approximately 10% of gross advertiser-generated revenue in 2023, while the top five digital properties represented approximately 23%. Advertiser contracts are generally short-term and may be terminated on short notice.
- Israel and geopolitical exposure: The company has significant research and development and data-center operations in Israel. Management stated that the Israel war had not materially affected operations as of the filing date, but employee reserve duty, facility disruption and escalation remain risks.
- Debt and interest rates: The remaining term loan has a variable interest rate, and substantial principal payments are due in 2028. The company must comply with leverage and other credit-agreement covenants.
- Tax and contingent items: Unrecognized tax benefits were $8.2 million at year-end. Potential Pillar Two global minimum-tax exposure in Australia, Korea and Thailand had not been quantified. The company reported no legal proceedings expected to have a material adverse effect; the previously disclosed U.S. Department of Justice hiring investigation closed as to Taboola in July 2023.
Important Facts for Investors to Verify
- Verify whether Yahoo’s transition is complete, when the 30-year exclusivity period begins, and whether the commercial-agreement asset begins amortizing.
- Track revenue yield, traffic acquisition cost, guarantee costs and ex-TAC gross profit to assess whether margins are recovering.
- Assess cash generation after debt repayment, share repurchases, capital expenditures and required debt maturities.
- Review the company’s ability to convert Adjusted EBITDA and free cash flow into sustainable GAAP profitability, given recurring share-based compensation and acquired-intangible amortization.
- Monitor Microsoft and other major digital-property relationships, advertiser retention and the effect of partner-network cleanup on revenue growth.
- Evaluate exposure to third-party-cookie deprecation, privacy regulation, AI-related compliance and cybersecurity incidents.
- Confirm the scope and timing of the February 2024 $100 million buyback authorization and any required Israeli court approvals.
- Review the term-loan covenants, variable interest exposure, 2028 maturity concentration and unquantified contractual minimum guarantees.
