Treasure Global Inc. — FY2023 Form 10-K
Reporting period: Fiscal year ended June 30, 2023, compared with fiscal 2022. Although the request metadata says “2022 Q4,” this filing is an annual report for FY2023, not a standalone quarterly filing. Financial amounts are in U.S. dollars unless stated otherwise.
Business context and reporting period
Treasure Global operates primarily in Malaysia through ZCITY, an online-to-offline commerce, rewards and payment platform. It also began expanding into restaurant brand sublicensing and food-and-beverage products. TAZTE, its digital F&B management system, was launched in late 2022. At June 30, 2023, the company reported 2.54 million registered users, 378,414 active users and 2,010 participating merchants.

Product and loyalty program revenue was $68.90 million, approximately 99.3% of total revenue, but generated only $41,771 of gross profit (0.1% margin). Member subscription revenue rose to $383,538; transaction revenue was $75,274; and new sublicense revenue was $49,820. TAZTE generated no revenue in FY2023 because merchants received an extended free trial.
At year-end, current assets were $6.03 million and current liabilities were $6.47 million, a working-capital deficit of approximately $441,000. Current convertible notes, net of discounts, were $4.79 million. The company used $9.56 million in operating cash and received $12.66 million from financing activities.
Material changes versus FY2022
- Revenue declined 12.9%, principally because management reduced e-voucher purchases to preserve working capital for TAZTE development. E-vouchers remained the dominant revenue source.
- Gross profit increased modestly, but total gross margin was only 0.8%. Lower selling expenses were offset by higher general and administrative expenses and research and development spending.
- Active users fell from 443,430 at June 30, 2022 to 378,414 at June 30, 2023; active users represented 14.9% of registered users at year-end. New-user additions also slowed.
- Cash increased, supported by the August 2022 IPO and convertible financing. Outstanding shares increased from 10.5 million at June 30, 2022 to 17.9 million at June 30, 2023.
- The company added restaurant sublicensing businesses and signed five-year Morganfield’s and Abe Yus licensing agreements. These include minimum aggregate payments of approximately $1.5 million and $1.2 million, respectively, or 40% of sublicense collections, whichever is higher.
Outlook, risks and unusual items
- Going concern: Management and the auditor identify substantial doubt about the company’s ability to continue as a going concern. Management expects recurring losses and says available funds may not cover working-capital needs and debt obligations beginning about one year from the report date. Plans include further equity or debt financing and related-party support; there is no assurance these will be available.
- Operating outlook: Management does not expect exponential user growth and plans to maintain e-voucher sales at a steady level while focusing on retention and TAZTE. It expects transaction revenue to increase after the TAZTE free-trial period expires in December 2023. No specific financial guidance is provided.
- Convertible financing and dilution: Two YA II PN debentures had $5.5 million aggregate principal and produced $5.06 million net proceeds. Conversion is at the lower of $1.6204 or 93% of the lowest applicable 10-day VWAP, subject to a $0.25 floor and other terms. The filing registered resale of up to 22.88 million shares issuable on conversion. From July to September 2023, 2,416,226 shares were issued upon conversion of $1,224,077 of principal and accrued interest.
- Nasdaq listing: The company received notice that its share price did not meet the $1.00 minimum bid requirement; the stated compliance deadline was February 13, 2024. The filing says there is no assurance of regaining compliance.
- Controls and reporting: Management concluded disclosure controls and internal control over financial reporting were ineffective. Two material weaknesses were identified: insufficient U.S. GAAP expertise and a lack of a functional internal audit function. Remediation is planned but may not fully resolve them.
- Concentration and operating exposure: Two vendors accounted for 62.5% and 32.7% of FY2023 purchases. The company also depends on third-party payment, cloud and platform providers; many material commercial agreements can be terminated on short notice. Currency movements, Malaysian economic conditions, inflation, competition, privacy regulation and cybersecurity are cited risks.
- Audit opinion: The FY2023 financial statements received an unqualified audit opinion, with a separate going-concern explanatory paragraph. The auditor did not express an opinion on internal control effectiveness.
