Customer assurance cost of revenue declined 11% to $12.1 million, or 10% of revenue versus 13%. Cash Flow, Liquidity and Debt

  • Net cash provided by operating activities was $43.0 million, compared with $31.5 million of cash used in Q1 2022. The improvement was primarily attributable to a $62.8 million increase in accounts payable, partly offset by a $21.5 million increase in trade receivables.
  • Net cash used in investing activities was $23.9 million, including a $27.4 million increase in finance receivables, $4.9 million of capitalized software costs and $35.6 million of marketable-security purchases, partially offset by $44.4 million of maturities, redemptions and sales.
  • Net cash provided by financing activities was $17.3 million, reflecting $20.0 million of net borrowings under the 2021 Revolver, partly offset by $3.6 million of RSU tax-withholding payments.
  • Cash, cash equivalents and restricted cash increased by $36.4 million during the quarter to $317.1 million at March 31, 2023. Marketable securities totaled $208.7 million, providing total cash and investments of approximately $525.9 million.
  • Outstanding debt was $95.5 million, consisting of $0.5 million under the 2019 Revolver and $95.0 million under the 2021 Revolver. An additional $1.6 million letter of credit reduced availability under the 2021 Revolver.
  • The 2019 Revolver matures June 25, 2024, and the 2021 Revolver matures August 24, 2026. The Company reported compliance with applicable financial and non-financial covenants as of March 31, 2023.
  • Management stated that existing cash, marketable securities and expected operating cash flow should support working-capital and capital-expenditure needs for at least the next 12 months and the long term, although future financing could be required for acquisitions or expansion.

Material Changes Versus the Prior Comparable Period

  • Revenue increased 16%, while Marketplace Units increased 8.2%; Marketplace GMV was essentially unchanged.
  • Net loss and Adjusted EBITDA improved materially, reflecting revenue growth, lower assurance costs as a percentage of revenue and operating leverage in marketplace services.
  • Interest income increased to $3.3 million from $0.04 million because of higher interest rates and the larger investment portfolio. Interest expense increased to $0.3 million from $0.2 million due to higher borrowings.
  • Cash flow from operations shifted from a $31.5 million use of cash to a $43.0 million source, substantially influenced by working-capital timing and marketplace float.
  • Total debt increased by $20.0 million from December 31, 2022, while cash and cash equivalents increased by $36.4 million.
  • Class B share conversions increased Class A shares and reduced Class B shares. Total weighted-average shares increased to approximately 158.7 million from 156.1 million.

Guidance, Outlook, Commentary and Risks

The filing does not provide a clear new quantitative revenue or earnings guidance figure. Management expects continued investment in sales and marketing, personnel, technology, transportation capabilities and new products. These investments may delay profitability or reduce near-term profitability, although management expects operating leverage and improved results over the longer term as the business scales.

Management identified Marketplace Units, customer engagement, adoption of value-added and data services, used-vehicle demand, supply conditions, interest rates and the ability to increase share of customers’ wholesale transactions as important performance drivers. Used-vehicle demand and pricing remain subject to economic conditions, consumer financing costs, new-vehicle supply, seasonality and changing wholesale inventory levels.

  • Guarantee exposure increased: vehicles with outstanding vehicle-condition guarantees had total sale prices of $306.1 million at March 31, 2023, compared with $160.3 million at December 31, 2022. The related accrued liability was $1.8 million, and the recognized probable loss contingency was another $1.8 million.
  • Accounts receivable and finance receivables carry credit risk; allowances were $4.4 million and $2.3 million, respectively, at March 31, 2023.
  • Variable-rate debt is indexed to LIBOR or replacement rates, with transition to SOFR expected around June 30, 2023. Management stated that a hypothetical 10% interest-rate change would not materially affect the financial statements.
  • The Company remains exposed to competition, macroeconomic conditions, used-vehicle demand, supply disruptions, customer retention, technology execution, regulatory compliance, litigation, key-personnel retention and the ability to achieve sustained profitability.
  • No material changes to previously disclosed risk factors were reported. Ordinary-course litigation and claims remain subject to management assessment; any exposure in excess of recorded liabilities was not currently estimable.
  • Management’s disclosure controls and procedures were effective at the reasonable-assurance level as of March 31, 2023, with no reported material change in internal control over financial reporting.
