Material changes versus the prior comparable period
- Financing transactions facilitated fell to RMB2.8 billion from RMB30.1 billion, and the number of financing transactions fell to 30,983 from 318,772.
- Automobile trading became the dominant revenue source, but its higher cost structure reduced consolidated margins.
- M1+ overdue ratio increased to 2.61% from 1.62%, and M3+ overdue ratio increased to 1.38% from 0.86%, primarily because of COVID-19-related disruption and weaker macroeconomic conditions.
- Risk-assurance obligations performed increased to RMB642.1 million from RMB403.4 million.
- Finance lease receivables, net, declined to RMB1,059.5 million from RMB2,443.4 million.
- Total assets declined to RMB7,016.3 million from RMB10,947.1 million, while total liabilities declined to RMB2,694.3 million from RMB3,956.5 million.

Guidance, outlook, commentary, risks and unusual items
Management did not provide quantified revenue, earnings or transaction-volume guidance. Management expects financing facilitation revenue and leasing income to continue declining as the Group prioritizes automobile trading solutions. The filing states that this transition may support longer-term growth but may increase near-term losses and profitability pressure.
- Key execution risks include scaling new-car and used-car trading, managing vehicle inventory and residual values, maintaining dealer participation and securing acceptable sourcing terms from OEMs.
- Credit risk remains significant. Approximately 82.2% of outstanding facilitated financing was subject to arrangements under which the Group or its licensed financing-guarantee subsidiary could bear credit risk, while only 14.6% was described as not subject to Group credit risk.
- The Group relies on a limited number of financial institutions. Bank of Shanghai and MYbank funded 63.3% and 16.3%, respectively, of 2022 facilitated financing under the direct-partnership model.
- The Group operates through VIE contractual arrangements rather than direct ownership of the principal China operating entities. Changes in PRC regulation or failure to enforce the agreements could result in loss of control or deconsolidation.
- PRC regulatory risks include financing-guarantee classification, cybersecurity and data privacy requirements, cross-border data transfer, overseas-listing filings, foreign-investment restrictions and currency-transfer restrictions.
- The PCAOB vacated its prior inability-to-inspect determination in December 2022, so the Company did not expect to be identified again under the HFCA Act in 2023. The filing states that this determination could change in the future.
- The Company had previously received an NYSE continued-listing non-compliance notice but states that it regained compliance. Future non-compliance could result in suspension or delisting.
- Management concluded that internal control over financial reporting was effective as of December 31, 2022. The auditor did not provide an internal-control attestation because the Company qualifies as an emerging growth company.
- The Company states that it was not party to any material legal or administrative proceedings at the filing date.
- The filing identifies a significant risk that the Company was a passive foreign investment company for U.S. tax purposes in 2022 and may be a PFIC in future years.
- Upon adoption of the expected-credit-loss standard on January 1, 2023, the Company recorded an approximate RMB307 million decrease to retained earnings after tax.
Investor verification checklist
- Verify whether the automobile-trading transition is producing sustainable gross margins and positive operating cash flow.
- Reconcile the Group’s unrestricted cash and short-term investments with cash held inside VIEs, restricted deposits and PRC fund-transfer limitations.
- Assess the potential cash exposure from the RMB16.5 billion maximum risk-assurance obligation and the adequacy of the RMB402.3 million recognized liability.
- Monitor M1+ and M3+ overdue ratios, credit-loss provisions, recoveries and repossessed-vehicle values.
- Review customer and financial-institution concentration, particularly dependence on Bank of Shanghai and MYbank.
- Confirm the status of VIE contractual arrangements, financing-guarantee licensing and required PRC filings or approvals.
- Evaluate the effect of the January 1, 2023 expected-credit-loss adoption on retained earnings and future profitability.
- Verify future NYSE listing compliance, PCAOB inspection access and any subsequent HFCA Act developments.
- Review future dividend and repurchase decisions against liquidity needs, debt maturities and restricted cash.
