Service revenue rose 15.0% to $720.5 million; product revenue declined 2.3% to $193.4 million. The effective tax rate was 14.1%, versus 3.6%, primarily because of a smaller tax benefit from stock-based compensation deductions. Interest expense was $9.4 million, down from $29.7 million, largely reflecting the absence of prior-year debt-extinguishment and financing-cost charges.
Segment results
- RMS: Revenue was $176.5 million, approximately flat year over year; operating income was $47.9 million and margin was 27.1%, up 170 basis points. The RMS Japan divestiture reduced revenue by $12.7 million.
- DSA: Revenue increased 8.6% to $544.3 million; operating income rose 15.4% to $105.0 million and margin improved to 19.3%. Growth reflected increased service pricing and demand in Safety Assessment and Discovery Services.
- Manufacturing: Revenue increased 31.8% to $193.1 million, including $35.8 million from the Cognate and Vigene CDMO acquisitions. Operating income declined 6.2% to $46.4 million and margin fell to 24.0% from 33.8%, amid higher amortization, acquisition costs, and CDMO operating costs.
Liquidity, debt, and cash flows
Cash and cash equivalents were $241.9 million at March 26, 2022, essentially unchanged from year-end; short-term investments were $1.1 million. Total debt and finance leases were $2.70 billion, including $1.17 billion drawn on the revolving facility and $1.50 billion of senior notes. The weighted-average debt interest rate was 2.87%. Management said existing funds, operating cash generation, and financing access were sufficient for foreseeable operating needs.
Operating cash flow fell to $102.6 million, principally due to working-capital timing, including variable compensation payments and customer contract balances, partly offset by supplier-payment timing. Investing activities used $98.0 million, including $80.5 million of capital expenditures. Financing activities used $13.3 million. A 100-basis-point rise in interest rates would increase annual pretax interest expense by an estimated $11.7 million.
Material changes, outlook, and risks
- Revenue growth reflected DSA expansion and acquisitions, particularly in Manufacturing, partly offset by foreign-exchange effects and the RMS Japan divestiture. Foreign exchange reduced reported revenue growth by 1.7 percentage points.
- On April 5, 2022, the company acquired Explora BioLabs for approximately $295 million in cash, funded through its credit facility. It will be reported in RMS. In April, the company also acquired a 49% interest in a DSA supplier for approximately $90 million upfront, with up to $5 million of contingent consideration.
- No specific revenue, earnings, or cash-flow guidance is provided in the supplied filing text. Management stated it did not intend to repurchase shares for the remainder of 2022. The company had $129.1 million remaining under its repurchase authorization; Q1 share purchases were for employee tax withholding, not the public program.
- The company had no direct operations in Russia or Ukraine and reported no material Q1 financial-statement impact, but ceased doing business with Russian customers and distributors. Risks cited include inflation, supply-chain disruption, higher transportation, energy and raw-material costs, cyberattacks, trade restrictions, and currency and market volatility.
- Other disclosed exposures include $17.7 million of letters of credit; up to approximately $73 million of remaining acquisition contingent payments, with about $30 million accrued; ongoing tax controversies; and ordinary-course litigation that management did not expect to materially harm business or financial condition. Certain acquisition-related indirect tax liabilities of $17 million could decrease over the next year.
Important facts for investors to verify
- Whether DSA demand and pricing momentum persists, and whether Manufacturing margins recover as acquisition and integration costs evolve.
- How working-capital timing and elevated capital expenditures affect operating cash flow and cash conversion in subsequent quarters.
- The impact of variable-rate debt, foreign-exchange movements, inflation, and geopolitical or supply-chain disruptions on costs and reported results.
- Integration, financing, and expected returns from Explora BioLabs and the supplier investment, including contingent consideration and related commitments.
- Whether tax audit outcomes, contingent liabilities, and other disclosed contingencies change materially.
