Segment operating margins were 25.4% for RMS, 18.1% for DSA, and 33.8% for Manufacturing. Management attributed growth principally to stronger demand, especially in DSA, with foreign exchange adding 2.9% to consolidated revenue growth.
Gross cash and cash equivalents were $465.4 million at March 27, 2021, versus $228.4 million at December 26, 2020; cash, cash equivalents, and short-term investments totaled $466.4 million. Current assets were $1.423 billion and current liabilities $803.4 million. Total debt and finance leases were $2.223 billion, including $2.194 billion of debt before finance leases and debt issuance costs. The reported weighted-average debt interest rate was 3.09%. The company said existing funds, operating cash generation, and financing access were sufficient for operations for the foreseeable future.
Operating cash flow increased substantially, reflecting higher earnings and favorable working-capital timing, including vendor and supplier payments and customer contract-balance collections. Investing cash outflow was $138.0 million, including $94.2 million for acquisitions and $28.0 million of capital spending. Financing cash inflow was $194.7 million.
Material changes and unusual items
- Revenue increased $117.5 million year over year; operating income rose $29.4 million. Higher revenue supported improved margins in all segments, while unallocated corporate expense increased $15.1 million, mainly from employee costs and acquisition evaluation and integration.
- Interest expense increased to $29.7 million from $15.1 million. It included approximately $26 million of debt-extinguishment costs and deferred financing-cost write-offs related to repayment of the 5.5% notes due 2026. Net income growth was partly offset by these costs.
- The company issued $1.0 billion of 3.75% notes due 2029 and 4.00% notes due 2031, repaid the $500 million 2026 notes and remaining $146.9 million term loan, and reduced revolving-facility borrowings. In April 2021, after quarter-end, it amended its credit facility, increasing revolving capacity from $2.05 billion to $3.0 billion and extending maturity to April 2026. It reported compliance with debt covenants at quarter-end.
- Quarter-end cash generation and financing activity preceded two major post-quarter acquisitions: Cognate BioServices for approximately $875 million, acquired March 29, 2021, and Retrogenix for approximately £35 million, acquired March 30, 2021, with up to £5 million of additional performance-based consideration. Cognate was funded with cash, credit-facility proceeds, and senior-note proceeds. Purchase-price allocations were not yet available.
- Q1 acquisitions included Distributed Bio and certain distributor assets. Contingent consideration liabilities were $33.2 million at quarter-end, up from $2.3 million at year-end, primarily reflecting acquisition additions.
- The effective tax rate was 3.6%, down from 8.3%, principally due to increased tax benefits from stock-based compensation deductions. Venture-capital investment losses were $16.4 million, primarily from declines in publicly held investments.
Outlook, commentary, and risks
The filing provides no specific quarterly or full-year revenue, earnings, or margin guidance. Management said COVID-19 remained uncertain but reported no material change in its assessment during the quarter; DSA and Manufacturing were not significantly impacted in the comparative periods, while RMS research-model demand recovered from pandemic-related effects, particularly in China.
Key risks include uncertainty about COVID-19 and customer demand; integration and execution of acquisitions; and new risks from expansion into contract development and manufacturing. These include product and service liability, regulatory approval of customer products and facilities, product acceptance, competition and pricing pressure, quality or delivery failures, and dependence on third-party raw materials. Other disclosed exposures include foreign-exchange and interest-rate movements, intellectual-property disputes, tax examinations, and ordinary-course litigation. Management reported effective disclosure controls and no material adverse effect from identified changes in internal controls.
Important facts for investors to verify

- The effect of the $26 million debt-extinguishment charge, low effective tax rate, and investment valuation losses on comparable earnings.
- Customer, regulatory, quality, supply-chain, and competitive risks associated with the expanded CDMO business.
