Seed sales rose 2% to $2.751 billion, while Crop Protection sales fell 20% to $1.741 billion. Seed segment operating EBITDA increased to $748 million from $652 million, but Crop Protection EBITDA declined to $310 million from $603 million.
Reported continuing-operations income was pressured by lower volumes, unfavorable mix, Crop Protection pricing pressure, higher input and production costs, unfavorable currency and higher restructuring charges. Cost of goods sold was $2.550 billion, or 57% of sales, compared with $2.771 billion and the same reported percentage in the prior-year period. Research and development expense was $332 million, or 7% of sales, and selling, general and administrative expense was $736 million, or 16% of sales.
EIDP reported an effective tax rate of 22.1%, compared with 21.8% in Q1 2023. Interest expense was $41 million, compared with $44 million; the prior-year amount included interest on the related-party loan from Corteva, which was repaid in Q4 2023.
Liquidity, debt and cash flow
- Cash, cash equivalents and marketable securities were $1.658 billion at March 31, 2024, compared with $2.742 billion at December 31, 2023.
- Total debt was $4.640 billion, including $2.148 billion of short-term borrowings and finance lease obligations and $2.492 billion of long-term debt.
- Commercial paper outstanding was $1.981 billion. EIDP and its consolidated subsidiaries had $6.0 billion of committed and available credit facilities, plus approximately $0.5 billion of additional uncommitted credit lines.
- Operating cash use from continuing operations was $2.972 billion for EIDP, primarily reflecting seasonal working-capital requirements and a $2.546 billion increase in receivables, partly offset by lower inventories and other working-capital movements.
- Capital expenditures were $148 million. Investing cash use was $270 million, while financing activities provided $2.132 billion, largely through increased borrowings.
- At March 31, 2024, EIDP had a $746 million receivable from Corteva under the Master In-House Banking Agreement. The related-party revolving loan was fully repaid in Q4 2023.
Material changes versus the prior comparable period
- Consolidated sales declined 8%, primarily because of Crop Protection destocking, purchases shifting closer to application windows, unfavorable weather in EMEA and currency pressure.
- Seed performance improved: sales increased 2% and segment operating EBITDA increased 15%, supported by pricing, lower net royalty expense and productivity actions.
- Crop Protection weakened materially: sales decreased 20%, and segment operating EBITDA declined 49%, due to lower volume, unfavorable mix, competitive pricing, currency and input-cost inflation.
- Restructuring and asset-related charges increased to $75 million from $33 million. The 2024 charges primarily related to the Crop Protection Operations Strategy Restructuring Program and accelerated royalty amortization.
- Through Q1 2024, the Crop Protection restructuring program had recorded $284 million of cumulative pretax charges. Total expected charges are $410 million to $460 million, with estimated future cash payments of $90 million to $120 million and substantial completion expected in 2024.
- Cash use from operations improved year over year, but seasonal working-capital needs caused a $1.144 billion decline in cash, cash equivalents and restricted cash equivalents during the quarter.
Guidance, outlook, risks and unusual items
Management reaffirmed 2024 guidance for net sales of $17.4 billion to $17.7 billion, Operating EBITDA of $3.5 billion to $3.7 billion, operating earnings per share of $2.70 to $2.90, operating cash flow from continuing operations of $2.1 billion to $2.6 billion and free cash flow of $1.5 billion to $2.0 billion. The outlook assumes no extreme weather, major operational disruptions, significant deterioration in customer demand or ability to pay, or further acceleration of currency and inflation impacts.
Management expects Crop Protection market growth in the second half of 2024 following significant 2023 destocking. The restructuring program is expected to generate approximately $100 million of run-rate savings by 2025. The company also expects approximately $180 million to $230 million of 2024 pretax restructuring charges and approximately $60 million of non-cash accelerated royalty amortization.
Discontinued operations generated a $47 million after-tax benefit, primarily from favorable adjustments to prior-year tax positions, partly offset by PFAS-related charges. The filing highlights substantial legal and environmental exposure, including PFAS matters, the Nationwide Water District Settlement, Lorsban litigation, FTC and antitrust proceedings, Bayer disputes, environmental remediation and indemnification obligations. At March 31, 2024, environmental accruals totaled $503 million, with potential exposure above accrued amounts estimated at $655 million; these estimates exclude certain possible impacts from evolving EPA PFAS requirements.
The company had accrued for the Nationwide Water District Settlement as of March 31, 2024. The settlement fund totaled $1.185 billion and received final court approval in February 2024, with the judgment becoming final in April 2024. The filing states that litigation outcomes and environmental costs could exceed recorded amounts and may materially affect future results or cash flows.
