Segments and material changes

  • Global Industrial: organic sales increased 1%; operating income increased 21%. Food & Beverage and Water growth more than offset lower Paper sales.
  • Global Institutional & Specialty: organic sales increased 11%; operating income increased 91%. Both Institutional and Specialty delivered double-digit organic sales growth.
  • Global Healthcare & Life Sciences: organic sales decreased 1%; operating income increased 5%. Lower Healthcare sales, including strategic exits from lower-margin business, were partly offset by Life Sciences growth.
  • Global Pest Elimination: organic sales increased 9%; operating income increased 10%.

Beginning January 1, 2024, Ecolab changed segment classifications, including reporting Pest Elimination as a standalone segment and moving Textile Care and Colloidal Technologies into Water. Prior segment information was recast for comparability.

Cash, debt and liquidity

Operating cash flow rose substantially, primarily due to a $223 million favorable year-over-year working-capital change and $179 million higher net income. Accounts payable contributed to the working-capital improvement, partly offset by increased inventory. Investing activities used $201.0 million; financing activities used $889.3 million, including the $629.6 million debt repayment, $196.4 million of share reacquisitions and $175.2 million of dividends paid. Cash declined $439.6 million during the quarter.

At March 31, Ecolab had a $2.0 billion revolving credit facility expiring in April 2026, with no borrowings, and no commercial paper outstanding. It reported compliance with debt covenants and said it expects operating cash flow and, if needed, additional borrowing to fund foreseeable requirements. The company declared dividends of $0.57 per share in Q1 2024, compared with $0.53 in Q1 2023.

Outlook, commentary, risks and unusual items

  • Guidance: The filing provides no specific full-year earnings or sales guidance. Management expects operating cash flow to remain strong and believes available liquidity and borrowing capacity are sufficient for foreseeable operating needs.
  • Restructuring: The Combined Program is expected to be substantially completed by year-end 2024, with total pre-tax charges of $195 million. Cumulative charges were $183.9 million through March 31, 2024; the remaining liability was $44.1 million. The program had generated $137 million of cumulative savings, with estimated annualized savings of $175 million in continuing operations by 2024.
  • Subsequent event: On April 27, 2024, Ecolab agreed to sell its global surgical solutions business for $950 million in cash, subject to adjustments and closing conditions. Closing is expected in the second half of 2024; the company expects to record a pre-tax gain.
  • Contingencies: Ecolab faces litigation related to the 2019 TPC Group plant explosion, with more than 5,000 plaintiffs asserting claims against its Nalco subsidiary. The company says it intends to defend the claims and believes potential losses should be covered by insurance, subject to deductibles; it cannot estimate a loss range. It also participates in environmental assessments and remediation at approximately 25 locations.
  • Other risks: Management identifies exposure to foreign exchange, economic and geopolitical conditions, raw-material costs, supply chains, cybersecurity and IT systems, regulation, litigation, environmental matters and indebtedness. The Russian and Ukraine operations represented approximately 1% of Q1 sales; Ecolab says it is limiting its Russian business to essential operations.

Important facts for investors to verify

  • How much of the increase in reported earnings reflects operating improvement versus the unusually large discrete tax benefit; review GAAP results alongside company-defined adjusted measures.
  • Whether pricing, volume and lower delivered costs can sustain margin gains, particularly as SG&A investment increased as a percentage of sales.
  • Whether operating cash flow remains strong after the favorable working-capital movement, and how capital spending, dividends, repurchases and debt repayments affect cash and leverage.
  • Completion, final proceeds and gain on the surgical solutions divestiture, including regulatory and other closing conditions.
  • Developments in the TPC litigation, insurance coverage and environmental liabilities; the filing does not provide a clear estimate of potential TPC losses.
