- Q2 revenue rose 66.5% year over year; first-half revenue increased 3.2%. Q2 ValidClick revenue grew 72%, while IntentKey revenue grew approximately 50%, primarily from new customers.
- Gross margin was approximately 82.1% in Q2 versus 85.9% a year earlier, and approximately 84.1% for the first half versus 80.0%. Q2 cost of revenue rose 111.6%, faster than revenue.
- Q2 operating expenses rose 64.6% to $12.77 million, driven by higher traffic acquisition costs and compensation. First-half expenses rose 12.7% to $24.54 million.
- First-half investing cash outflow was $0.79 million; financing cash inflow was $12.71 million, primarily from stock sales. Cash increased to $17.35 million from $7.89 million at year-end 2020; marketable securities were $0.89 million.
Balance sheet and liquidity
- Current assets were $24.41 million and current liabilities $9.01 million; management reported net working capital of $15.4 million.
- No balance was outstanding under the $5 million Hitachi credit facility at June 30. The SBA disaster loan had been repaid in January 2021. The balance sheet included approximately $1.04 million of operating and finance lease liabilities.
- Stockholders’ equity was $34.69 million. Common shares outstanding were 118.52 million at June 30, compared with 98.04 million at December 31, 2020. The company raised net proceeds of $13.14 million from common-stock sales during the first half.
Changes, outlook, and risks
- Management said advertising demand and revenue run rates improved as vaccination rollouts progressed, but revenue had not returned to pre-pandemic levels by the end of Q2. The 2020 pandemic downturn affected ValidClick more severely than IntentKey.
- Management is prioritizing growth of IntentKey, which it describes as higher-margin, and said success could restore positive operating cash flow. It believes available cash and credit will fund operations for the next twelve months, but gave no specific revenue or earnings guidance and cautioned that additional financing may be needed if the plan is unsuccessful.
- Google, Yahoo! and Proper Media represented 74.5% of Q2 revenue and 61.8% of gross accounts receivable at June 30. The filing warns that the loss of, or material changes involving, these customers could significantly harm results.
- Q2 other income included approximately $25,000 of unrealized marketable-securities gains. First-half other income of approximately $495,000 included $420,000 recognized following cancellation of a licensing agreement and reversal of a $50,000 sales reserve.
- A $35 million at-the-market offering facility was established in May; no shares were sold under it during Q2. Sales carry a 3% agent commission and could dilute existing shareholders.
- Other stated risks include continued cash burn, seasonality, dependence on advertising suppliers and profitable traffic acquisition, privacy and regulatory requirements, technology and infrastructure risks, and the ongoing effects of COVID-19. No legal proceedings were reported; management stated disclosure controls were effective.
