OEM sales were $2,903.7 million, down 33%, with operating profit of $17.4 million and a 0.6% margin. Aftermarket sales were $881.1 million, down 1%, while operating profit increased to $106.1 million and margin rose to 12.0%.
Material changes versus FY 2022
- Consolidated sales fell 27%, primarily reflecting weaker RV shipments, lower commodity-indexed selling prices and reduced North American marine production. Recent acquisitions contributed approximately $73.6 million of 2023 sales.
- North American wholesale shipments of travel trailer and fifth-wheel RVs fell 39%; motorhome shipments fell 21%. Retail demand for travel trailer and fifth-wheel RVs declined 17%.
- OEM operating profit fell sharply: lower indexed selling prices reduced profit by $213.7 million, and reduced-volume fixed costs also weighed heavily. Lower material costs partly offset these impacts.
- Aftermarket operating profit improved by $32.2 million, mainly due to lower material costs and targeted pricing, despite slightly lower sales.
- Inventory declined to $768.4 million from $1,029.7 million. The reduction in inventory contributed $235.3 million to operating cash flow, while net income and operating cash flow were substantially below 2022.
- Interest expense increased to $40.4 million from $27.6 million, primarily because of higher rates on variable-rate borrowing. Total indebtedness decreased, including $37.5 million of Term Loan prepayments.
- International and export sales rose to approximately 11% of consolidated sales from 8% in 2022. Management said 61% of 2023 sales were generated outside the North American RV OEM market, compared with 46% in 2022.
Outlook, risks and unusual items
- Management estimated a 2024 effective tax rate of 24%–26%, capital expenditures of $55–$75 million, depreciation and amortization of $130–$140 million, and commodity prices generally stable. It said potential interest-rate reductions later in 2024 could benefit consumers and dealers; these are expectations, not guarantees.
- Management stated that cash flows and available credit were expected to cover anticipated cash requirements for the next 12 months. The company also disclosed $89.7 million of estimated future interest payments and $345.7 million of operating lease payments over their contractual terms.
- Key risks include RV and marine cyclicality, consumer and dealer financing costs, dealer inventory levels, customer concentration, commodity and supply-chain volatility, tariffs and foreign exchange, labor availability, acquisitions and integration, cybersecurity and ERP implementation, warranty and product-liability exposure, and environmental and regulatory obligations.
- Thor accounted for 16% of 2023 sales and Berkshire Hathaway subsidiaries for 15%. Warranty provision rose to $84.3 million from $46.4 million, and the year-end warranty accrual was $71.6 million; the auditor identified estimation of certain warranty accruals as a critical audit matter.
- Two 2023 acquisitions had aggregate cash consideration of $25.8 million. Management reported no material goodwill impairment in its 2023 annual test. Litigation and environmental matters were described as subject to uncertainty; management did not expect liabilities beyond recorded amounts, including anticipated insurance recoveries, to be material.
- KPMG gave unqualified opinions on the financial statements and internal control over financial reporting. Management also concluded disclosure controls and procedures were effective at year-end.
Important facts for investors to verify
- Whether RV wholesale and retail demand, dealer inventory levels and OEM production recover, and how that affects OEM profitability.
- Whether Aftermarket margin improvement is sustainable and whether diversification continues to reduce dependence on North American RV OEMs.
- Warranty claims, reserve adequacy and related service costs, given the higher provision and the auditor’s critical audit matter.
- Debt, variable-rate exposure, covenant headroom and the availability of the revolving facility; a 100-basis-point rate increase was estimated to reduce annual cash flow by approximately $3.9 million at year-end borrowing levels.
- Progress on 2024 capital spending, acquisitions, commodity costs, and management’s stated tax and operating assumptions.
- Customer concentration and any material developments in litigation, environmental remediation, product recalls or cybersecurity risks.
