Gross margin was approximately 21.5% in Q2 versus 26.6% a year earlier, and 20.3% for the first half versus 27.5%. Six-month net interest expense increased to $20.6 million from $12.4 million, primarily reflecting higher rates on variable-rate debt.
At June 30, cash was $22.1 million. Total debt, including current maturities, was approximately $943.5 million, down from $1,119.0 million at year-end 2022. Six-month capital expenditures were $34.1 million; dividends paid were $53.2 million.
Material changes and segment results
- OEM: Q2 sales fell 41% to $759.0 million and operating profit fell to $18.6 million from $190.6 million. First-half sales declined 43% to $1,517.2 million, while operating profit fell to $17.9 million from $436.0 million. Lower RV shipments, commodity-indexed selling-price reductions, and fixed costs against reduced volumes weighed heavily on results. Lower material costs partly offset these pressures.
- Aftermarket: Q2 sales slipped 2% to $255.6 million, while operating profit rose to $36.5 million from $28.2 million. First-half sales declined 7% to $470.8 million, but operating profit increased to $57.3 million from $52.5 million, supported by lower commodity costs and targeted price increases.
- Inventory declined to $830.0 million from $1,029.7 million at December 31, 2022. Operating cash flow included a $209.3 million cash benefit from inventory reduction, partly offset by higher receivables.
Outlook, risks, and unusual items
- Management estimated 2023 U.S. wholesale shipments of travel trailer, fifth-wheel, and motorhome RVs at approximately 290,000–310,000 units, down 41%–37% from 2022. It cited dealer inventory levels, inflation, and higher interest rates affecting consumers.
- Management expected a slight increase in aftermarket sales in the second half versus the prior year as distribution inventories stabilize, tempered by inflation and interest rates. It expected consumer uncertainty to pressure discretionary adjacent-market purchases, while manufactured homes, buses, and trains were expected to remain near current production rates through 2023.
- Full-year 2023 capital expenditures were estimated at $60–$80 million. Management expected depreciation and amortization of $130–$140 million and stock-based compensation expense of $18–$23 million for the year.
- Commodity-indexed selling-price declines reduced Q2 OEM operating profit by $83.1 million year over year; lower material commodity costs added $37.3 million. Volatile OEM schedules and lower organic volumes also pressured first-half operating profit.
- Risks include further RV demand or dealer-inventory weakness, inflation and consumer financing costs, commodity-price volatility, supply and labor constraints, seasonality, geopolitical and economic disruptions, product recalls, environmental matters, and litigation. Management said it did not expect litigation liabilities beyond recorded amounts to materially affect financial position or results, while noting outcomes are uncertain.
- A May 2023 credit-agreement amendment temporarily relaxed certain financial covenant thresholds for the quarters ending June 30 and September 30, 2023. The company reported compliance at quarter-end. No material changes to previously disclosed risk factors were reported.
Investor verification points
- Track RV retail demand, wholesale shipments, and dealer inventory normalization against management’s shipment estimate.
- Assess whether OEM margins recover as production volumes, commodity-linked pricing, and fixed-cost absorption change.
- Monitor aftermarket channel inventories and consumer discretionary demand.
- Verify liquidity and covenant headroom, especially given $22.1 million of cash, variable-rate debt, and the temporary covenant amendment.
- Compare actual 2023 capital expenditures and commodity costs with management’s estimates; review warranty accruals, product-recall exposure, and acquisition integration effects.
